GROWER AGREEMENT

This Grower Agreement (the Agreement) is made and entered into as of by and between Grower Name: (Grower), Entity Type: and Buyer Name: with principal address:

RECITALS

WHEREAS, Grower cultivates and produces agricultural commodities and possesses the facilities, expertise and personnel necessary to grow, harvest and deliver the Crop defined below in accordance with the standards and schedules set forth in this Agreement; and

WHEREAS, Buyer purchases and markets agricultural products and desires to purchase from Grower, and Grower desires to grow and sell to Buyer, the Crop under the terms and conditions set forth herein; and

WHEREAS, the parties intend by this Agreement to allocate responsibilities, set quality standards, and establish pricing and remedies for non-conforming deliveries.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Crop" means the agricultural product to be produced by Grower under this Agreement: Crop Type: .

1.2 "Delivery Location" means the location specified by Buyer for receipt of the Crop: .

2. TERM

2.1 This Agreement commences on the Effective Date set forth above and continues until completion of performance of the parties' obligations for the Crop harvest and final payment, unless earlier terminated in accordance with Section 13.

3. CULTIVATION AND PRODUCTION

3.1 Grower shall plant, cultivate, nurture and harvest the Crop in accordance with accepted agricultural practices and the cultivation plan described below. Acreage devoted to the Crop: acres.

3.2 Grower shall maintain records of inputs, pest management, irrigation, fertilization, and any applications of restricted materials and shall provide copies to Buyer upon reasonable request as set forth in Section 7.

4. QUALITY, STANDARDS AND INSPECTION

4.1 All deliveries must conform to the quality specifications: Minimum quality/spec: . Buyer may reject deliveries that do not conform.

4.2 Buyer or Buyer’s designated inspector shall have the right to inspect the Crop at reasonable times upon prior notification to Grower. If Buyer rejects a delivery due to non-conformance, Grower shall, at Grower’s expense, remedy or remove the rejected Crop within days of notice.

5. PRICE AND PAYMENT

5.1 Price: Buyer shall pay Grower per for all accepted Crop delivered in accordance with this Agreement.

5.2 Payment Terms: Buyer shall issue payment within days after acceptance and receipt of the Grower's invoice. Invoices shall reference the delivery tickets and include lot identifiers.

6. DELIVERY AND TRANSFER OF TITLE

6.1 Title and risk of loss shall pass to Buyer upon delivery at the Delivery Location when the Crop has been accepted by Buyer in accordance with Section 4. Delivery shall be FOB Delivery Location unless otherwise agreed in writing.

6.2 Delivery schedule: Harvest and delivery window begins and ends .

7. RECORDS AND ACCESS

7.1 Grower shall maintain accurate books and records relating to production, harvest, inputs and sales of the Crop for a period of at least years. Buyer shall have the right to audit such records upon reasonable prior notice during normal business hours.

8. COMPLIANCE WITH LAWS

8.1 Each party shall comply with all applicable local, state and federal laws, regulations and industry standards relating to agriculture, food safety, labor, pesticides and transportation. Grower shall maintain all required permits and maintain compliance documentation upon request.

9. INSURANCE

9.1 Grower shall procure and maintain at its expense comprehensive general liability insurance and crop/hail insurance with coverages customary for the Crop and operation. Minimum coverage limits: General liability and Crop insurance coverage of .

10. INDEMNIFICATION

10.1 Grower shall indemnify, defend and hold Buyer and its agents harmless from and against any and all claims, liabilities, losses, damages, fines, penalties and expenses (including reasonable attorneys' fees) arising out of Grower's negligence, willful misconduct, breach of this Agreement, or failure to comply with applicable laws in the cultivation, harvesting or handling of the Crop.

11. FORCE MAJEURE

11.1 Neither party shall be liable for failure or delay in performance due to causes beyond its reasonable control, including acts of God, disease, flood, drought, wildfire, labor disputes, embargoes or governmental acts. The affected party shall provide notice to the other and use commercially reasonable efforts to mitigate the effect of the event.

12. TERMINATION

12.1 Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Termination shall be without prejudice to any rights or remedies that accrued prior to termination.

13.1 All notices required or permitted under this Agreement shall be in writing and shall be deemed delivered when delivered in person, sent by certified mail, or sent by nationally recognized overnight courier to the addresses set forth above or to such other address as either party designates by written notice.

14. AMENDMENTS; WAIVER; COUNTERPARTS

14.1 No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties. No waiver shall be effective unless in writing signed by the waiving party. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one document.

15. MISCELLANEOUS

15.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction where the Delivery Location is located, without regard to choice of law principles.

15.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral.

15.3 Severability. If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
