By initialing and signing this application, the Guarantor represents and warrants that all financial statements and information provided in this application are true, complete and correct to the best of the Guarantor's knowledge. Guarantee Agreement — Material Terms

1. Nature of Guarantee. The Guarantor unconditionally and irrevocably guarantees to the Lender the prompt payment and performance of all present and future obligations of the Borrower to the Lender (the "Obligations"). This Guarantee is a continuing guaranty and shall remain in full force and effect until all Obligations have been indefeasibly paid and performed.

2. Scope and Extent. The Guarantor's liability is joint and several with the Borrower and other guarantors and is not limited by any limitation of Borrower's liability. The Lender may, in its sole discretion, modify, extend, accelerate or forbear in respect of the Obligations, without notice to or consent of the Guarantor, and such actions shall not release or impair the Guarantor's liability hereunder.

3. Waivers. The Guarantor waives any right to require the Lender to proceed against the Borrower, to pursue any other remedy, to give any notice, or to take any action against the Borrower or with respect to any collateral prior to enforcing this Guarantee.

4. Subrogation and Subordination. The Guarantor's subrogation rights, if any, are subordinate to the prior payment in full of the Obligations. The Guarantor shall not exercise any rights of subrogation, contribution or reimbursement against the Borrower until all Obligations are paid in full.

5. Remedies; Costs. The Lender shall have all remedies available at law or in equity, including enforcement of this Guarantee through suit, collection, set-off or other lawful means. The Guarantor agrees to pay the Lender's reasonable costs of collection, including court costs and attorneys' fees, if the Lender enforces this Guarantee.

6. Governing Law. This Guarantee shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law rules.

7. Severability. If any provision is held invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed to effectuate the intent of the parties.
