RECITALS

WHEREAS, Presenter operates or engages performance events and desires to engage Guest Artist to perform a musical, theatrical or similar performance on the terms set forth herein; and

WHEREAS, Guest Artist represents that Guest Artist has the experience, qualifications, and right to perform the repertoire described in this Agreement and is willing to perform under the terms and conditions set forth below; and

WHEREAS, the parties desire to set forth their rights and obligations with respect to the performance and related services.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

1. ENGAGEMENT; PERFORMANCE

1.1 Engagement. Presenter engages Guest Artist, and Guest Artist accepts engagement, to render the services described in Section 2 at the location and time specified below.

5.1 Technical Rider. Presenter shall provide the technical equipment, stage access, and personnel as set forth in the technical rider below. Any deviation from the rider must be approved in writing by Guest Artist.

6. REHEARSAL

6.1 Rehearsal. If rehearsals are required, they will occur on at . Any additional rehearsal time shall be compensated at a rate mutually agreed in writing.

7. CANCELLATION; FORCE MAJEURE

7.1 Cancellation by Presenter. If Presenter cancels the engagement fewer than days prior to the Performance Date, Presenter shall pay Cancellation Fee equal to the deposit plus % of the remaining fee unless otherwise agreed in writing.

7.2 Force Majeure. Neither party shall be liable for failure to perform due to events beyond its reasonable control, including but not limited to acts of God, governmental action, strikes, or public health emergencies. The affected party must provide prompt notice and use commercially reasonable efforts to mitigate.

8. RECORDING; RIGHTS; LICENSE

8.1 Recording. Guest Artist grants Presenter the non-exclusive right to audio and/or video record the performance only if Guest Artist has provided prior written consent. Consent to record: Yes

8.2 Ownership. Unless otherwise agreed in writing, Guest Artist retains all copyrights and moral rights in the performance and in any original material performed. Any use of recordings for commercial exploitation requires a separate written license and additional compensation.

9. PUBLICITY

9.1 Use of Name and Likeness. Presenter may use Guest Artist's name, biographical information, and likeness solely for promotion of the engagement, subject to Guest Artist's prior approval of any materials that imply endorsement. Approval will not be unreasonably withheld.

10. INDEPENDENT CONTRACTOR; TAXES

10.1 Independent Contractor. Guest Artist is engaged as an independent contractor. Guest Artist is solely responsible for all federal, state, and local taxes, social security contributions, and other obligations arising from the fees paid under this Agreement.

11. INSURANCE; INDEMNIFICATION

11.1 Insurance. Presenter shall maintain general liability insurance covering the event and shall name Guest Artist as an additional insured if requested. Presenter required to provide proof of insurance upon request: Yes

11.2 Indemnification. Each party shall indemnify and hold harmless the other party, its officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement or negligent acts or omissions.

12. REPRESENTATIONS AND WARRANTIES

12.1 Guest Artist represents and warrants that Guest Artist has full right and authority to enter into this Agreement, that performance will not infringe on any third-party rights, and that all material performed is licensable for the uses contemplated herein.

13. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or overnight courier, and shall be deemed given upon receipt.

14. AMENDMENTS; WAIVER; COUNTERPARTS

14.1 Amendments. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument signed by both parties.

14.2 Waiver. The failure of either party to enforce any provision shall not constitute a waiver of that provision or of the right to enforce it later.

14.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

15. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

15.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

15.2 Entire Agreement. This Agreement, including any rider or addendum signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
