GUEST PERFORMER AGREEMENT

This Guest Performer Agreement ("Agreement") is entered into as of by and between Presenter: with principal place of business at and Guest Performer: residing at .

RECITALS

WHEREAS, Presenter produces and presents live events and desires to engage Performer to render a live performance at the Event described below; and

WHEREAS, Performer is available and qualified to provide the musical/entertainment services described in this Agreement and represents that Performer has the necessary skills, permits, and rights to perform; and

WHEREAS, the parties desire to set forth the terms and conditions of Performer's engagement for the Event.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. ENGAGEMENT

1.1 Engagement. Presenter hereby engages Performer, and Performer accepts engagement, to provide a live performance (the "Performance") at the event known as to be held at on commencing at .

1.2 Performance Length. Performer agrees to perform for a total of (the "Set"), exclusive of encores unless otherwise agreed in writing.

1.3 Rehearsal and Soundcheck. Performer shall attend a soundcheck/rehearsal at or at a time reasonably determined by Presenter. Presenter shall provide reasonable access to the stage and technical staff for such soundcheck.

2. COMPENSATION AND PAYMENT

2.1 Fee. In consideration for the Performance, Presenter shall pay Performer a fee in the amount of $ (the "Fee").

2.2 Deposit and Balance. A deposit of $ is due by to secure the booking. The remaining balance shall be paid by , unless otherwise agreed in writing.

3. TRAVEL, LODGING AND EXPENSES

5.1 Ownership. Performer retains all rights to original musical compositions and performance rights unless otherwise assigned in writing. Presenter shall not exploit recordings or broadcasts of the Performance except as provided in this Section.

5.2 Recording Rights. Recording or broadcasting of the Performance is: . If permitted, Presenter shall pay Performer a recording royalty of $ per use unless otherwise agreed.

6. WARRANTIES; REPRESENTATIONS

6.1 Performer represents and warrants that Performer has the full right, power and authority to enter into this Agreement and to grant the rights granted herein; that the Performance will not infringe any third-party rights; and that Performer will comply with all applicable laws and venue rules.

6.2 Presenter represents and warrants that it has authority to present the Event, will provide the facilities and personnel reasonably necessary for the Performance, and will comply with all applicable laws.

7. INDEPENDENT CONTRACTOR; TAXES

7.1 Independent Contractor. Performer is an independent contractor and not an employee of Presenter. Performer is solely responsible for all federal, state and local taxes, insurance, and withholding obligations arising from the Fee.

7.2 Tax Forms. If required by law, Performer shall provide valid tax documentation to Presenter prior to payment.

8. CANCELLATION; FORCE MAJEURE

8.1 Cancellation by Presenter. If Presenter cancels the Engagement without cause less than days before the Event, Presenter shall pay Performer the full Fee less any deposit previously paid.

8.2 Cancellation by Performer. If Performer cancels without cause less than days before the Event, Performer shall forfeit the deposit and reimburse reasonable out-of-pocket expenses incurred by Presenter.

8.3 Force Majeure. Neither party shall be liable for failure to perform due to causes beyond its reasonable control, including acts of God, war, government action, or public health emergencies. The affected party must notify the other promptly and the parties shall attempt to reschedule the Performance in good faith.

9. INDEMNIFICATION AND INSURANCE

9.1 Indemnification. Each party shall indemnify, defend and hold harmless the other party and its officers, agents and employees from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence or willful misconduct.

9.2 Insurance. Presenter and Performer shall each maintain commercial general liability insurance and any other insurance required by venue rules. Upon request, each party shall provide proof of insurance to the other.

10. CONFIDENTIALITY AND PUBLICITY

10.1 Confidentiality. The parties agree that confidential business information exchanged in connection with this Agreement shall be kept confidential and used only to perform obligations under this Agreement.

10.2 Publicity. Presenter may use Performer's name, likeness and biographical material in promotional materials for the Event unless Performer checks below to withhold consent: .

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses below by personal delivery, certified mail, or courier service and shall be effective upon receipt.

12. MISCELLANEOUS

12.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Venue is located, without regard to conflict-of-law principles.

12.2 Entire Agreement. This Agreement, including any Rider and attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements.

12.3 Amendments. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

12.4 Severability. If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.

12.5 Waiver. The failure of either party to enforce any provision hereof shall not constitute a waiver of that provision or any other provision.

12.6 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, and may be executed by electronic signature or facsimile transmission, which shall be binding for all purposes.
