Guest Services Agreement

This Guest Services Agreement ("Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Service Provider operates and provides hospitality, attendant, concierge and related guest services for short-term visitors and guests at properties and events; and

WHEREAS, Guest desires to engage Service Provider to provide specified services under the terms set forth in this Agreement and Service Provider agrees to provide such services in accordance with the terms below.

Scope of Work

Service Provider shall perform the services described below for Guest at the locations and times set forth in this Agreement. Services shall be performed in a professional manner consistent with industry standards.

Payment Terms

Guest shall pay Service Provider the fees set forth below in consideration for the Services. Unless otherwise stated, fees are exclusive of taxes and charges which Guest shall be responsible for.

Late payments shall incur a late fee of on any past due balance, compounded monthly, and Guest shall be responsible for collection costs, including reasonable attorneys' fees.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for material breach if such breach is not cured within a reasonable cure period of not less than 10 days following written notice, or immediately for breaches that are incapable of cure.

Confidentiality

For the purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other, whether oral, written or electronic, that is designated as confidential or that ought reasonably to be understood as confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall: (a) use Confidential Information solely for the performance or enforcement of this Agreement; (b) restrict disclosure to employees and contractors with a need to know and who are bound by confidentiality obligations at least as restrictive as those herein; and (c) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Confidential Information does not include information that (i) is or becomes publicly available other than through a breach of this Agreement, (ii) was lawfully known to the receiving party prior to disclosure, (iii) is rightfully received by the receiving party from a third party without restriction, or (iv) is independently developed without the use of Confidential Information. Permitted disclosures required by law shall be made only after prompt notice to the disclosing party to allow for protective measures.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any third-party claims, damages, liabilities and expenses arising from the indemnifying party's gross negligence, willful misconduct or material breach of this Agreement.

EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE AGGREGATE LIABILITY OF EITHER PARTY FOR DIRECT DAMAGES SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE UNDER THIS AGREEMENT IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Insurance

Service Provider shall maintain commercial general liability insurance with limits reasonably sufficient for the services provided, and worker's compensation in compliance with applicable law. Upon request, Service Provider shall provide certificates of insurance evidencing coverage.

Force Majeure

Neither party shall be liable for non-performance or delay to the extent caused by events beyond its reasonable control, including acts of God, strikes, epidemics, governmental orders, or civil unrest; provided that the affected party provides prompt notice and uses commercially reasonable efforts to resume performance.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Agreement.

Entire Agreement

This Agreement, together with any exhibits or statements of work incorporated by reference, constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its business.
