GUEST SERVICES CONTRACT

This Guest Services Contract (the "Contract") is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client operates a venue, event, or accommodation and requires personnel and services to greet, assist and manage guests, visitors, and attendees; and

WHEREAS, Service Provider represents that it is qualified, properly licensed, and experienced to provide guest services, including but not limited to front-of-house staffing, guest relations, ticketing support, and concierge services; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will provide such services to Client.

1. SCOPE OF WORK

Service Provider shall provide the guest services described below. The services shall be provided in a professional manner consistent with industry standards and the schedule agreed by the parties.

2. PAYMENT TERMS

Client shall pay Service Provider the fees and reimbursements set forth below in consideration for the services rendered under this Contract.

All fees are exclusive of applicable taxes. Client shall reimburse Service Provider for pre-approved out-of-pocket expenses reasonably incurred in performing the services upon submission of supporting receipts.

3. TERM AND TERMINATION

This Contract Commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Either party may terminate this Contract for material breach by the other party if such breach is not cured within ten (10) days after written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services rendered through the effective date of termination.

4. CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public business or technical information disclosed in connection with this Contract. Each receiving party shall (a) hold Confidential Information in strict confidence, (b) use it only to perform obligations under this Contract, and (c) not disclose it to third parties except to affiliates, employees, contractors or advisors with a need to know and who are bound to confidentiality obligations no less protective than those set forth herein.

Confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, is rightfully obtained from a third party without restriction, or is independently developed without reference to Confidential Information.

5. INSURANCE AND INDEMNIFICATION

Service Provider shall maintain general liability insurance in an amount not less than per occurrence and workers' compensation as required by law. Upon request, Service Provider will furnish certificates evidencing such coverage.

Each party shall indemnify and hold harmless the other party from and against all claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising from the indemnifying party's negligence or willful misconduct in performing its obligations under this Contract.

6. INDEPENDENT CONTRACTOR

Service Provider is an independent contractor and not an employee, agent, partner or joint venturer of Client. Service Provider shall be solely responsible for withholding and paying any applicable taxes, benefits, and other statutory obligations for its personnel.

7. GOVERNING LAW

This Contract shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

8. ENTIRE AGREEMENT; AMENDMENT

This Contract, including any attachments and exhibits executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations, understandings and agreements. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

9. NOTICES

All notices required or permitted under this Contract shall be in writing and delivered to the addresses below by hand, certified mail, or nationally recognized courier.

10. MISCELLANEOUS

If any provision of this Contract is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that remedies at law for a breach of certain provisions of this Contract may be inadequate and that injunctive relief may be sought in addition to any other remedies.
