GUTTER INSTALLATION AGREEMENT

Recitals

WHEREAS, Client is the owner or authorized agent of the real property located at: (the Property); and

WHEREAS, Contractor is duly licensed and experienced in the installation of rain gutters, downspouts, hangers, and associated flashing and desires to perform gutter installation services at the Property; and

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows.

Scope of Work

Contractor shall furnish all labor, materials, equipment and supervision necessary to complete the gutter installation described below in a professional and workmanlike manner consistent with industry standards.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within days after receiving written notice. Upon termination, Client shall pay Contractor for all work performed and materials delivered through the termination date, less any setoffs.

Change Orders

Any change in the Scope of Work, materials or schedule must be documented in a written change order signed by both parties specifying the change, additional cost (if any) and any adjustment to the completion date.

Warranty

Contractor warrants that workmanship will be free from defects for a period of from the date of completion. Manufacturer warranties for materials, if any, are as provided by the manufacturer and are separate from this workmanship warranty.

Confidentiality

Each party agrees to keep confidential and not disclose to third parties any nonpublic information of the other party obtained in connection with this Agreement, except as required by law or necessary to perform the obligations under this Agreement. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party.

Indemnification

Contractor shall indemnify and hold Client harmless from and against claims, liabilities, damages and expenses arising from Contractor's negligence or willful misconduct in the performance of the Work. Client shall indemnify and hold Contractor harmless from claims arising from Client's negligence or from conditions at the Property not disclosed to Contractor prior to commencement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles. Any dispute arising under this Agreement shall be resolved by binding arbitration or litigation as elected by the prevailing party; the parties agree that venue will lie in the county where the Property is located.

Entire Agreement

This Agreement, including any written change orders executed by the parties, constitutes the entire agreement between Client and Contractor with respect to the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral. Any amendment must be in writing and signed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered by personal delivery, certified mail, or commercial delivery service to the addresses listed above or to such other address as a party may designate by written notice to the other party.

Acknowledgement

By signing below, the parties acknowledge that they have read and understand this Agreement, that they are authorized to enter into this Agreement, and that they accept the terms and conditions set forth herein.
