WHEREAS

WHEREAS, Contractor is engaged in the business of gutter inspection, repair and related services and holds necessary licenses and insurance to perform such work; and

WHEREAS, Client desires to engage Contractor to perform the repairs and services described in this Estimate at the Work Site specified above, and Contractor agrees to perform such services in accordance with the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Scope of Work

Contractor shall supply all labor, materials, tools, equipment, and supervision necessary to complete the Scope of Work. Any alterations or additions to the Scope of Work shall be documented in a written change order signed by both parties and will alter the Estimate and schedule accordingly.

Either party may terminate this Agreement for material breach by the other party that remains uncured for a period of days following written notice. Termination does not relieve Client of payment obligations for work completed and materials ordered prior to termination.

Confidentiality

Each party shall treat as confidential all pricing, proprietary methods, estimates, repair specifications and other nonpublic business information disclosed in connection with this Estimate. Confidential information shall not include information that is publicly available or rightfully obtained from a third party without obligation of confidentiality. Parties shall only use confidential information for performance under this Agreement.

Warranties and Liability

Contractor warrants that services will be performed in a workmanlike manner consistent with industry standards. Except as expressly set forth in this Agreement, Contractor disclaims all other warranties, express or implied. Contractor's total liability for any claim arising out of or related to this Agreement shall not exceed the amount actually paid by Client to Contractor under this Estimate.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

This Estimate and any signed change orders constitute the entire agreement between the parties with respect to the services described herein and supersede all prior agreements, representations, and understandings, whether written or oral. No modification shall be binding unless executed in writing by both parties.

Acceptance

By signing below, Client acknowledges acceptance of this Estimate and authorizes Contractor to perform the described Scope of Work under the terms specified. Client acknowledges that the Estimate is an offer to perform work and will become a binding agreement upon signature by both parties.
