What the HazardHub Service Agreement Is and Covers

The HazardHub Service Agreement is a written contract that governs access to, licensing of, and permitted use of HazardHub hazard and risk data feeds. It identifies the data provider and recipient, defines licensed datasets and permitted uses, sets pricing and payment terms, allocates liability and indemnities, and establishes reporting, audit, and termination processes. The agreement also clarifies delivery formats, versioning, and service-level expectations for dataset updates. When executed, it creates enforceable rights and obligations between parties and supports electronic execution methods consistent with U.S. e-signature law.

Why a Formal Service Agreement Matters

A clear HazardHub Service Agreement reduces ambiguity about data scope, licensing restrictions, uptime and updates, and fee obligations; it allocates risk and sets remedies for breach, which simplifies procurement, underwriting, and compliance reviews across legal, security, and business teams.

Why a Formal Service Agreement Matters

Who Typically Signs or Manages This Agreement

Typical participants include procurement, legal, data science, and operations teams that require clarity on data rights and responsibilities.

  • Insurers and underwriters who consume hazard scores for pricing and risk modeling.
  • Real estate analytics firms licensing location-based hazard datasets for valuation products.
  • Government planners and utilities using geospatial hazard layers for resilience planning.

Final signatories are usually authorized executives or delegated agents; technical and compliance contacts are recorded for delivery and audits.

Primary Roles and Responsibilities

Data Recipient — Procurement

Procurement evaluates pricing and contract terms, coordinates approvals, and ensures the agreement aligns with internal purchasing policies and budgetary controls; they route the agreement to legal and technical teams for final review and acceptance.

Data Provider — Legal Counsel

The provider's legal representative defines license scope, liability caps, data usage restrictions, and compliance obligations; counsel negotiates confidentiality, indemnity, and termination provisions and ensures contract enforceability under applicable state law.

Security, Compliance, and Core Requirements

Encryption: TLS 1.2/1.3 in transit
At-Rest Protection: AES-256 encryption
Audit Trail: Detailed signing history
BAA Requirement: Required for PHI use
Authentication: Multi-factor options
Access Controls: Role-based permissions

Key Risks and Consequences to Monitor

Incorrect Scope: Breach risk
Missing Signature: Potential unenforceability
HIPAA Noncompliance: Civil penalties
Late Payments: Interest and collection
Misstated Fees: Billing disputes
Data Misuse: Indemnity exposure

Common Preparation Pitfalls

  • Failing to define precise dataset versions and delivery cadence leads to disputes about whether updates are included in the license.
  • Using vague permitted-use language (for example, 'internal analytics') without explicit exclusions creates downstream compliance uncertainty.
  • Omitting a signer with authority or failing to check corporate signing thresholds can void or delay contract execution.
  • Not attaching the statement of work or price schedule causes confusion about deliverables, prices, and invoicing cycles.

Real-World Examples of Agreement Use

These brief case summaries show how organizations completed and benefited from a clear HazardHub Service Agreement.

Brian Fitzgibbons, Optica Ventures LLC

Optica implemented a data license to feed underwriting models and ensure consistent update schedules.

  • The provider required a defined delivery cadence and usage limits.
  • After execution, the team reported smoother integrations and fewer disputes about dataset currency, improving operational predictability for their analytics pipeline.

Dan Rotelli, BIS

BIS selected contractual language to limit liability and require SOC 2 evidence from the vendor.

  • Negotiations focused on audit rights and incident response.
  • The final agreement reduced compliance risk, provided clear audit access, and gave BIS more confidence in relying on the dataset for client reports.

Parties

Identify legal entity names, addresses, and authorized signatories; include billing contacts and technical contacts for delivery and escalation to avoid future disputes over who may bind the organization.

Describe exact datasets, permitted uses, restrictions on redistribution, sublicensing rules, and any geographic or industry limitations so recipients know what they can and cannot do with the data.

Fees & Payment

State pricing, invoicing schedule, accepted payment methods, late payment interest, and audit rights to verify usage-based fees; include currency and tax treatment for cross-jurisdictional arrangements.

Delivery & SLAs

Specify data formats, delivery cadence, update windows, accuracy expectations, and remedies for missed updates, including credits or termination rights for repeated failures.

Liability & Indemnity

Set liability caps, carve-outs for willful misconduct, and mutual indemnities for third-party claims arising from data misuse or intellectual property infringement; clearly state limitations of liability.
