Sponsor engages Affiliate to refer prospective patients or clients to Sponsor's healthcare services, subject to the terms of this Agreement. Affiliate's authority is limited to marketing and referrals; Affiliate shall not represent itself as an agent with authority to bind Sponsor in clinical, financial or contractual matters.

Compensation & Payment Terms

Referral compensation will be paid only for referrals that result in rendered services billed and collected by Sponsor in accordance with Sponsor's billing practices. Compensation calculations exclude adjustments, refunds, credits, denials, and uncollected amounts.

Payments shall be issued within days following Sponsor's collection and reconciliation of earned referral revenue. Affiliate shall provide remittance instructions and W-9 or equivalent documentation if requested.

Regulatory Compliance and Healthcare Laws

Both parties warrant that they will comply with all applicable federal and state statutes and regulations governing healthcare arrangements, including but not limited to anti-kickback statutes, physician self-referral prohibitions, and applicable fee-splitting prohibitions. Affiliate certifies that it will not condition referrals on receipt of remuneration that would violate law or professional standards.

Affiliate shall immediately notify Sponsor in writing if Affiliate becomes aware of any matter that may affect compliance with applicable laws or that could reasonably expose Sponsor to regulatory or enforcement risk.

Privacy, PHI, and Business Associate Considerations

Affiliate acknowledges that protected health information (PHI) is subject to strict confidentiality and regulatory protections. Affiliate shall not access, request, or transmit PHI unless expressly authorized in writing and only in conformance with HIPAA and related law. Receipt or use of PHI by Affiliate requires execution of a separate Business Associate Agreement that allocates responsibilities for safeguarding PHI.

Confidentiality and Data Security

Each party shall maintain the confidentiality of confidential information received from the other and shall use commercially reasonable administrative, physical and technical safeguards appropriate to the nature of the information. Confidential information includes non-public business information and PHI. Disclosure is permitted only as required by law or with prior written consent.

Recordkeeping, Audit Rights, and Reporting

Affiliate shall maintain accurate records relating to referrals, communications, and any compensation received for a period of not less than four (4) years. Sponsor or Sponsor's authorized representative shall have the right to audit such records upon reasonable notice during regular business hours to verify compliance and calculate amounts due. Affiliate agrees to cooperate fully with such audits.

Indemnification; Insurance

Affiliate shall indemnify, defend and hold Sponsor and its officers, directors and employees harmless from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising from Affiliate's breach of this Agreement, negligent or intentional acts, or violation of law. Affiliate shall maintain insurance coverage appropriate to the scope of its activities and shall provide evidence of insurance upon Sponsor's request.

Term, Termination and Effect of Termination

This Agreement shall continue in effect until terminated by either party upon thirty (30) days' prior written notice. Sponsor may terminate immediately for cause, including fraud, material breach, or regulatory noncompliance. Upon termination, Affiliate shall cease all marketing that references Sponsor and shall promptly return or destroy confidential information in its possession.

Miscellaneous Provisions

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which Sponsor maintains its principal place of business, without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located in Sponsor's jurisdiction unless the parties agree otherwise in writing.

Entire Agreement: This Agreement, together with any executed Business Associate Agreement and addenda, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. Any amendment must be in writing signed by both parties.

Representations and Certifications

Each party represents that: (a) it has full authority to enter into this Agreement; (b) execution and performance will not violate any agreement or law applicable to that party; and (c) the signatory executing this Agreement on behalf of each party is duly authorized to bind that party. Affiliate certifies that it will not offer or accept remuneration for referrals beyond the compensation described herein.
