HEALTHCARE AFFILIATE PROGRAM CONTRACT

Affiliate acknowledges that payments for referrals are subject to anti-kickback, self-referral, and other applicable federal and state laws. All compensation under this Agreement is intended to be commercially reasonable and reflect fair market value for services rendered. Affiliate shall not condition referrals on receipt of items or services from patients.

Affiliate attests that it will not offer improper inducements to refer patients and will comply with applicable anti-kickback and self-referral laws.

Affiliate will maintain accurate records of referrals and patient interactions and will provide such records to Healthcare Entity upon request for audit and compliance review.

6. HIPAA, PHI and Data Handling

To the extent Affiliate receives protected health information (PHI), Affiliate shall comply with the Health Insurance Portability and Accountability Act and applicable privacy and security regulations. Affiliate agrees to use PHI only to perform obligations under this Agreement and to implement administrative, technical and physical safeguards to protect PHI.

Affiliate is a Business Associate and agrees to execute a Business Associate Agreement (BAA) where required by law.

7. Patient Referrals and Consent

Affiliate shall obtain any required patient consent prior to transmitting PHI to Healthcare Entity and shall not represent itself as an agent or employee of Healthcare Entity unless expressly authorized in writing. Affiliate shall provide patients with truthful information regarding the affiliation and compensation arrangement if requested.

Affiliate will secure and document patient consent as required by law and Program policy.

8. Confidentiality

Each party shall keep confidential all proprietary and patient-identifiable information received from the other party, using no less than reasonable care to protect such information. Confidential information shall not be disclosed except as required by law or with the prior written consent of the disclosing party.

9. Term, Renewal and Termination

The initial term of this Agreement shall be years from the Effective Date and shall automatically renew for successive one-year periods unless either party provides written notice of non-renewal at least days prior to the expiration of the then-current term.

Either party may terminate this Agreement for material breach that is not cured within thirty (30) days after written notice. Healthcare Entity may terminate immediately for breaches involving PHI misuse or violations of law.

10. Audit and Recordkeeping

Affiliate shall retain records supporting all referrals and payments for a period of at least and shall permit Healthcare Entity or its authorized representatives to audit such records during regular business hours upon reasonable notice.

Affiliate acknowledges Healthcare Entity's right to audit for compliance and to recover any overpayments discovered as a result of audits.

11. Indemnification and Insurance

Each party shall indemnify, defend and hold harmless the other party from any claims arising from its breach of this Agreement, negligence, or willful misconduct. Affiliate shall maintain professional and general liability insurance in commercially reasonable amounts and provide certificates of insurance upon request.

12. Limitation of Liability

Except for willful misconduct or breaches of confidentiality or PHI obligations, neither party will be liable to the other for consequential, incidental, special or punitive damages. Aggregate liability under this Agreement shall be limited to the total compensation paid or payable to Affiliate in the twelve (12) months preceding the event giving rise to the claim.

13. Notices

All notices required under this Agreement shall be in writing and delivered to the addresses below via certified mail, personal delivery, or other nationally recognized courier.

14. Governing Law; Dispute Resolution

This Agreement shall be governed by the laws of the state of , without regard to conflict of law principles. Disputes shall be resolved in the state or federal courts located in that jurisdiction unless the parties mutually agree to mediation or arbitration.

15. Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements. Amendments must be in writing signed by both parties.
