HEALTHCARE APP AGREEMENT

This Healthcare App Agreement (the Agreement) is entered into by and between the Provider identified below and the Patient accessing and using the mobile application or web application described herein. The Agreement authorizes the Provider and the App Operator to collect, use, store and disclose Protected Health Information (PHI) as set forth in the sections below and constitutes a lawful consent and authorization by the Patient for such activities to the extent permitted under applicable law.

MEDICAL HISTORY (SUMMARY)

APP FUNCTIONALITY AND DATA COLLECTION

The App provides clinical monitoring, messaging with care team members, secure storage of health records, medication management, and aggregated reporting for clinical use. The types of data collected by the App may include:

The Patient authorizes the collection of the selected categories of information and acknowledges that some functions (e.g., remote monitoring) require continuous or periodic collection of data to operate effectively.

USE, DISCLOSURE, AND DATA SHARING

The Patient authorizes the Provider and App Operator to use and disclose the Patient's PHI for: (a) treatment, payment and healthcare operations; (b) coordination of care with treating clinicians and care teams identified by the Patient; (c) technical support and App maintenance; and (d) as required by law. Additional sharing requires the Patient's affirmative selection below.

SECURITY, STORAGE, AND RETENTION

The App Operator will implement reasonable administrative, technical and physical safeguards consistent with applicable legal standards to protect PHI. The Patient understands that no technology is entirely risk-free and there is residual risk of unauthorized access. The Patient authorizes storage of PHI for the period necessary to provide services and as required by law.

PATIENT RESPONSIBILITIES

The Patient agrees to: (a) provide accurate information; (b) maintain secure access credentials and promptly notify the Provider of unauthorized access; (c) follow clinical instructions delivered through the App; and (d) acknowledge that App content does not replace emergency care.

CONSENT, AUTHORIZATION, AND ACKNOWLEDGMENTS

By signing this Agreement, the Patient authorizes the Provider and App Operator to access, use, store, and disclose PHI as described herein. The authorization includes retrieval of outside medical records necessary for clinical continuity. This authorization is voluntary and may be revoked in writing, except to the extent that actions have already been taken in reliance upon it.

FEES AND PAYMENT AUTHORIZATION

Where fees apply for premium services, the Patient authorizes billing as indicated. Fees are subject to change on reasonable notice. The Patient must maintain billing information accurate and current.

TERMINATION, REVOCATION, AND DATA RETURN

The Patient may terminate this Agreement or revoke this authorization at any time by providing written notice to the Provider. Revocation will not affect disclosures or actions taken prior to receipt of revocation. Upon termination, the Provider will retain records as required by law and will provide a copy of records to the Patient upon request in accordance with standard retention and retrieval procedures.

REPRESENTATIONS, WARRANTIES, AND LIMITATION OF LIABILITY

The Provider warrants that it will implement reasonable safeguards described in this Agreement. Except as required by law, the Provider disclaims all other warranties, express or implied. To the fullest extent permitted by law, the Provider's aggregate liability for claims arising from this Agreement shall be limited to direct actual damages and shall not include incidental, consequential, punitive or special damages.

INDEMNIFICATION

The Patient agrees to indemnify and hold harmless the Provider and App Operator from claims arising from the Patient's breach of this Agreement, misuse of the App, or unauthorized disclosures resulting from the Patient's failure to safeguard credentials.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the state indicated below, without regard to conflict of law provisions. The parties agree to attempt to resolve disputes in good faith prior to initiating formal proceedings.

MISCELLANEOUS

Entire Agreement: This Agreement constitutes the entire understanding between the Patient and the Provider regarding the App and supersedes prior agreements. Amendment: This Agreement may be amended in writing signed by both parties or by a revised electronic agreement presented to the Patient with notice. Severability: If any provision is found invalid, the remainder remains in effect.
