HEALTHCARE APRN AGREEMENT

Confidentiality and HIPAA Compliance

APRN shall comply with all federal and state privacy laws, including applicable health information privacy requirements. APRN shall not disclose protected health information except as required for treatment, payment, or healthcare operations, or as otherwise permitted by law.

APRN acknowledges receipt of Practice privacy policies and agrees to comply.

Continuing Education; Licensure Renewal

APRN shall maintain required continuing education and renew licensure and certifications in a timely manner. APRN will provide proof of current licensure, DEA, and certification upon request and within ten (10) business days of renewal.

Termination

Either party may terminate this Agreement without cause upon written notice to the other party. Notice period (days): . Termination for cause may be immediate for material breaches, loss of license, conviction of a felony related to professional practice, or patient safety concerns.

Indemnification and Liability

Each party shall indemnify, defend and hold harmless the other party from claims arising out of the indemnifying party's negligent acts, omissions, or willful misconduct. Nothing in this Agreement limits statutory rights or duties for mandatory reporting or regulatory compliance.

Non-Solicitation

During the term of this Agreement and for a period of following termination, APRN shall not solicit Practice patients for competing services within the Practice's primary service area without prior written consent, except as otherwise required by law.
