Billing Company will perform professional billing and collections services on behalf of Provider, including but not limited to: submission of insurance claims and electronic billing, coding review and correction, claims follow-up, denial management, appeals, patient statements and collections, posting of payments, and periodic reporting. Specific services and exclusions are set forth below.

Fees, Billing and Payment

Provider shall pay Billing Company the fees described below in consideration for the Services. Billing Company is authorized to deduct its fees from collections prior to remittance to Provider, subject to the billing and reconciliation provisions set forth in this Agreement.

Patient Assignment; Authorization to Bill

Provider hereby assigns and transfers to Billing Company the rights necessary to prepare, file and pursue claims and appeals on Provider's behalf. Provider represents that it will obtain and maintain any required patient authorizations and assignments of benefits necessary for Billings Company to bill payors and receive collections.

Compliance, Confidentiality, and HIPAA

Billing Company shall at all times comply with Federal and state laws governing privacy and security of protected health information, and shall implement administrative, physical and technical safeguards consistent with applicable law. Billing Company agrees to act as a Business Associate where required and to execute, if requested, a standalone Business Associate Agreement containing required safeguards, breach notification obligations and permitted uses and disclosures.

Term, Renewal and Termination

This Agreement shall commence on the Effective Date and continue for an initial term of , unless earlier terminated as provided herein. Thereafter it shall .

Either party may terminate for cause upon written notice specifying the breach and providing the other party a period of to cure. Upon termination, Billing Company shall provide reasonable transition assistance, including transfer of electronic records, as set forth below.

Indemnification; Limitation of Liability

Each party shall indemnify, defend and hold harmless the other from and against claims, liabilities, losses and expenses arising from its negligence, willful misconduct or breach of this Agreement. Billing Company's liability for damages arising from performance under this Agreement shall be limited to direct damages not to exceed the greater of (a) fees paid to Billing Company in the prior six (6) months, or (b) actual proven damages; in no event shall either party be liable for incidental, consequential or punitive damages.

Records, Reporting and Audits

Billing Company will retain financial and billing records in accordance with applicable law. Provider shall have the right to audit billing records and reports upon reasonable prior written notice and during normal business hours. Discrepancies identified by audit shall be reconciled within 30 days.

All notices, requests and other communications required or permitted under this Agreement shall be in writing and sent to the addresses set forth below.

Miscellaneous Provisions

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements. Any modification requires a writing signed by both parties. This Agreement shall be governed by the laws of the state identified below. If any provision is held invalid, the remaining provisions shall continue in full force and effect.

Representations and Warranties

Each party represents and warrants that it has the authority to enter into this Agreement, that performance will not violate any other agreement, and that it will comply with applicable laws and payer rules in performing its obligations.
