HEALTHCARE BOARD CONTRACT

This Board Contract (the "Agreement") is entered into by and between:

Recitals

WHEREAS, the Healthcare Entity operates healthcare facilities and services requiring governance and oversight; and

WHEREAS, the Board Member possesses experience and expertise relevant to the Healthcare Entity's mission and governance; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Appointment; Duties and Responsibilities

1. Appointment. The Healthcare Entity hereby appoints the Board Member as a member of the Board of Directors/Trustees for the Term set forth above, subject to the Healthcare Entity's bylaws and applicable law.

2. Duties. The Board Member shall faithfully perform fiduciary duties of care, loyalty, and confidentiality, comply with all applicable policies, and act in the best interests of the Healthcare Entity. Specific duties include attendance at regularly scheduled meetings, service on committees as requested, participation in strategic planning, and review of financial and compliance reports.

Compensation; Expenses

The Board Member's compensation, if any, shall be as set forth below and shall be subject to applicable tax reporting and withholding requirements.

The Board Member shall maintain confidentiality in accordance with applicable law, the Healthcare Entity's privacy policies, and shall complete required privacy and security training prior to access to PHI.

Termination; Removal

This Agreement may be terminated by the Healthcare Entity for cause, including breach of fiduciary duty, violation of law, or failure to comply with policies. The Board Member may resign upon written notice to the Healthcare Entity. Upon termination or resignation, the Board Member shall promptly return all confidential materials and property.

Indemnification; Insurance

The Healthcare Entity agrees to indemnify and defend the Board Member to the fullest extent permitted by law and the Healthcare Entity's governing documents. The Healthcare Entity may maintain directors' and officers' liability insurance covering the Board Member.

Governing Law; Dispute Resolution

This Agreement shall be governed by the laws of the state specified below without regard to conflicts of law principles. The parties agree that disputes arising under this Agreement will be resolved by binding arbitration unless otherwise prohibited by law.

Miscellaneous

Severability. If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect.
