HEALTHCARE BRANDED AGREEMENT

This Healthcare Branded Agreement ("Agreement") is entered into as of , (the "Effective Date"), by and between Healthcare Provider: and Brand Partner: .

RECITALS

WHEREAS, Healthcare Provider owns certain trademarks, service marks, trade names, logos and other brand elements (collectively, "Marks") and maintains standards for use of such Marks in materials distributed to patients, payors, and the public; and

WHEREAS, Brand Partner desires to use the Marks in connection with co-branded materials, marketing, digital platforms, and related services, and Healthcare Provider is willing to grant a limited license to use such Marks subject to the terms and conditions set forth herein.

DEFINITIONS

"Licensed Materials" means the specific branded content, templates, digital assets, and Marks provided by Healthcare Provider to Brand Partner under this Agreement. "Confidential Information" means nonpublic business, clinical, technical and financial information exchanged under this Agreement. "PHI" means protected health information as defined under applicable privacy laws.

GRANT OF LICENSE

Subject to the terms of this Agreement, Healthcare Provider grants Brand Partner a non-exclusive, non-transferable, revocable license to use the Marks solely for the purpose of producing and distributing Licensed Materials in the Territory and Channels expressly approved in writing by Healthcare Provider. All uses of the Marks shall be in strict accordance with the usage guidelines provided and approved by Healthcare Provider.

USE, APPROVAL AND QUALITY CONTROL

Brand Partner shall submit proposed Licensed Materials for prior written approval. Healthcare Provider's approval shall not be unreasonably withheld but may be conditioned on compliance with brand standards and clinical accuracy. Healthcare Provider retains the right to require modifications and to withdraw approval for any material that, in Healthcare Provider's reasonable judgment, fails to meet standards or creates risk to patient safety or the Provider's reputation.

Brand Partner shall not alter the Marks or Licensed Materials except as expressly permitted in writing. All co-branded materials shall clearly identify the role of each party and shall not state or imply endorsement of clinical decisions by Brand Partner.

PATIENT DATA, PHI AND AUTHORIZATIONS

If Licensed Materials will reference or include patient information or PHI, Brand Partner shall obtain a signed patient authorization that complies with all applicable privacy laws prior to use. Brand Partner shall implement administrative, physical and technical safeguards to protect PHI and shall enter into a business associate agreement when required by law.

CONFIDENTIALITY

Each party shall protect Confidential Information of the other using the same degree of care it uses to protect its own confidential information but no less than reasonable care. Confidential Information shall not be disclosed except to employees, contractors or affiliates on a need-to-know basis and only under written obligations no less protective than those in this Agreement. Confidential obligations survive termination for a period of five (5) years, or with respect to PHI, for the period required by law.

INTELLECTUAL PROPERTY; OWNERSHIP

Healthcare Provider retains all right, title and interest in the Marks and Licensed Materials, and no ownership interest is transferred. Brand Partner gains only the limited license set forth herein. Any co-created works identifying joint ownership must be set forth in a separate written agreement signed by both parties.

COMPLIANCE WITH LAWS AND HEALTHCARE REGULATIONS

Brand Partner shall comply with all applicable laws, regulations and professional standards, including those governing privacy, advertising, anti-kickback statutes, false claims, and any other healthcare-specific requirements. Brand Partner represents and warrants that it will not use the Marks in any manner that would cause Healthcare Provider to be out of compliance with applicable laws.

INDEMNIFICATION

Brand Partner shall indemnify, defend and hold harmless Healthcare Provider and its officers, directors, employees and agents from and against any third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Brand Partner's use of the Marks, breach of this Agreement, violation of law, or negligent or willful misconduct. Healthcare Provider shall indemnify Brand Partner for claims arising from Healthcare Provider's defective or infringing Marks supplied for use under this Agreement.

INSURANCE

Brand Partner shall maintain commercial general liability, professional liability (errors and omissions) and cyber/ privacy liability insurance with limits sufficient to cover its obligations under this Agreement. Upon request, Brand Partner shall provide certificates evidencing such coverage.

TERM AND TERMINATION

This Agreement shall commence on the Effective Date and continue for an initial term of years, unless earlier terminated as provided below. Either party may terminate for material breach if the breach remains uncured thirty (30) days after written notice. Healthcare Provider may immediately suspend or terminate this Agreement if Brand Partner's use of Licensed Materials poses an immediate risk to patient safety or violates applicable law.

EFFECTS OF TERMINATION

Upon expiration or termination, Brand Partner shall cease all use of the Marks and Licensed Materials, destroy or return all physical and electronic copies as directed, and certify in writing that it has complied. Termination does not relieve either party of obligations accrued prior to termination, including indemnity and confidentiality obligations.

LIMITATION OF LIABILITY

Except for each party's indemnification obligations or breaches of confidentiality or misuse of PHI, neither party shall be liable to the other for incidental, consequential, punitive or special damages arising from this Agreement. Each party's aggregate liability shall be limited to amounts actually paid under this Agreement in the preceding twelve (12) months.

AUDIT AND RECORDS

Healthcare Provider or its authorized auditor may audit Brand Partner's records relevant to use of Licensed Materials upon reasonable prior notice and during regular business hours. Brand Partner shall cooperate and make relevant personnel and records available. Any nonconformity discovered shall be remediated promptly at Brand Partner's expense.

NOTICES

All notices under this Agreement shall be in writing and delivered by certified mail, overnight courier, or email with confirmation to the addresses set forth below under "Operational Contacts." Notice is effective upon receipt.

MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes prior discussions and agreements. Any amendment must be in writing and signed by both parties. Neither party may assign this Agreement without the other's prior written consent, except in connection with a merger or sale of substantially all assets. If any provision is held invalid, the remainder shall remain in effect. This Agreement shall be governed by the laws of the state identified in the Operational Contacts.

Each party represents and warrants that it has full corporate power and authority to enter into this Agreement and to perform its obligations.
