Privacy, HIPAA and Data Security

Each party warrants that it shall comply with all applicable privacy and security laws, including requirements applicable to Protected Health Information. Business and Provider shall implement administrative, physical and technical safeguards reasonably designed to protect PHI against unauthorized use or disclosure.

Confidentiality and Use of Information

Confidential Information means information disclosed by one party to the other that is marked confidential or would reasonably be understood to be confidential. Each party shall protect such information and shall not use or disclose it except as necessary to perform obligations under this Agreement, to comply with law, or as otherwise authorized in writing.

Indemnification and Liability

Each party agrees to indemnify, defend and hold harmless the other party from claims arising from its own negligent acts, omissions, or willful misconduct in connection with performance under this Agreement. Neither party shall be liable for incidental, consequential, punitive or special damages, except to the extent arising from gross negligence or willful misconduct.

Upon reasonable notice, Business may audit Provider's records to the extent necessary to verify billings and compliance with privacy obligations. Such audits shall be conducted during normal business hours and subject to confidentiality protections.

Termination

This Agreement may be terminated by either party for material breach if the breaching party fails to cure within the notice period below. Termination shall not relieve Business of obligations to pay for services rendered prior to termination.

This Agreement shall be governed by the laws of the state specified below, without regard to conflict of law principles. The parties agree to resolve disputes first through good faith negotiation, then mediation, and if unresolved, binding arbitration unless otherwise mutually agreed.
