Recitals and Definitions

Recitals: Provider maintains a multidisciplinary care team providing in-home and clinic-based healthcare services. Client desires to engage Provider to deliver services as set forth in this Contract. In consideration of the mutual covenants below, the parties agree as follows.

Definitions: "Services" means the clinical, medical, care coordination, and ancillary services described in Section Scope of Services. "Confidential Information" includes Protected Health Information (PHI) and other nonpublic data disclosed in the course of performance.

Provider shall furnish Services reasonably necessary for Client's care consistent with applicable professional standards. Specific Services to be provided by Provider are described below and may be modified by mutual written agreement.

Client agrees to pay Provider in accordance with the rates below. Client is responsible for co-payments and any amounts not covered by insurance. Provider will bill payers and Client; Client is responsible for timely payment of undisputed invoices.

Consent, Authorization and HIPAA

Client authorizes Provider to provide the Services described and to obtain, use and disclose Protected Health Information (PHI) as necessary for treatment, payment, and healthcare operations. Client acknowledges receipt of the Provider's Privacy Practices and consents to electronic communications where required.

Term, Termination and Modification

Term: This Contract begins on the Effective Date and continues until terminated by either party upon thirty (30) days' written notice. Provider may terminate immediately for nonpayment or material breach. Modifications to the Services or fees must be in writing and signed by both parties.

Indemnification, Liability and Insurance

Each party shall indemnify and hold the other harmless from claims arising from its negligence or willful misconduct. Provider maintains professional liability insurance sufficient for the Services provided. Except for gross negligence or willful misconduct, neither party shall be liable for incidental or consequential damages.

Governing Law and Dispute Resolution

This Contract shall be governed by the laws of the state of jurisdiction where Services are primarily delivered. The parties agree to negotiate in good faith to resolve disputes and, if unresolved, to submit the dispute to mediation followed by binding arbitration under the arbitration rules chosen by the parties.

Representations and Certifications

Each party represents that it has authority to enter into this Contract and that all information provided to the other party is true and complete. Client certifies that Client is the patient or authorized to consent on the patient's behalf.

Notices

Notices shall be in writing and delivered to the addresses listed in this Contract or such other address as either party provides in writing. Notices are effective upon delivery.
