If funds are disbursed in error or used for non-authorized purposes, the Charity may require immediate repayment. The Charity's remedies for breach shall include suspension or recovery of funds, denial of future assistance, and any other remedies available at law or equity.

Indemnification and Limitation of Liability

To the extent permitted by law, Recipient shall indemnify and hold harmless the Charity, its officers, directors, employees and agents from claims, liabilities, suits, judgments, and expenses arising from Recipient's breach of this Agreement or misuse of funds. The Charity's liability to Recipient for any cause related to this Agreement shall be limited to the funds actually disbursed under this Agreement; in no event shall the Charity be liable for incidental, consequential, or punitive damages.

This Agreement may be terminated by the Charity for cause, including but not limited to falsification of information, failure to cooperate with verification, or misuse of funds. This Agreement is governed by the laws of the state specified below.

Miscellaneous

No waiver shall be effective unless in writing and signed by the party waiving compliance.
