1. Scope of Services

Contractor shall provide professional cleaning, disinfection, and environmental services as required for patient care areas, clinical support areas, administrative spaces, and other areas designated by Facility. Services shall be performed in accordance with Facility policies, applicable infection control standards, and written procedures attached hereto or otherwise provided by Facility.

4. Infection Control, PPE and Hazardous Materials

Contractor shall comply with Facility infection prevention policies and ensure staff use appropriate personal protective equipment (PPE) and cleaning agents. Contractor shall immediately notify Facility of exposure incidents or breaches that may impact patient safety.

Facility shall have the right to inspect, audit and copy cleaning logs, training records, personnel vaccination records (where permitted by law), and other documents relevant to the performance of services. Contractor shall maintain records for a period of three years following termination or longer if required by law.

10. Changes and Additional Services

Any material changes to the Scope of Services shall be set forth in a written change order signed by authorized representatives of both parties. Additional services shall be billed in accordance with agreed rates.

11. Representations and Warranties

Each party represents that it has the authority to enter into this Agreement. Contractor warrants that services shall be performed in a professional manner consistent with industry standards and Facility policies.

12. Dispute Resolution and Governing Law
