RECITALS

The Coach is engaged in the practice of healthcare coaching, which focuses on goal-setting, wellness planning, health behavior change and coordination of wellness-related activities. SCOPE OF SERVICES

Coaching does not include diagnosis, medical treatment, psychotherapy, or emergency care. Specific services to be provided:

CONFIDENTIALITY & PRIVACY

The Coach will maintain the confidentiality of Client information except as required by law or as authorized below. Exceptions include: threats of harm to self or others, suspected abuse or neglect of a child, dependent adult, or elder, or as otherwise required by court order. The Client authorizes the Coach to communicate with other healthcare providers as necessary for coordination of care only if explicit written authorization is provided by the Client.

RISKS, LIMITATIONS & NO GUARANTEES

The Client understands that healthcare coaching involves behavior change and that results may vary. The Coach makes no guarantees regarding outcomes. The Client is responsible for seeking medical advice for medical concerns and understands coaching is not a replacement for medical or mental health treatment.

TERMINATION

Either party may terminate this Agreement upon written notice. If the Coach terminates without cause, the Coach will provide a pro rata refund for prepaid unused sessions. If the Client terminates, fees for completed services are non-refundable unless otherwise agreed in writing.

INDEMNIFICATION & LIMITATION OF LIABILITY

The Client agrees to indemnify and hold harmless the Coach from any claims arising from the Client's actions or inactions. To the extent permitted by law, the Coach's liability for any claim related to this Agreement is limited to the amount of fees paid by the Client to the Coach under this Agreement in the six months preceding the claim.

DISPUTE RESOLUTION & GOVERNING LAW

The parties will first attempt to resolve disputes by good faith negotiation. If unresolved, disputes shall be resolved by binding arbitration conducted in accordance with the rules agreed by the parties. This Agreement shall be governed by the laws of the State of .
