Either party may terminate for convenience upon days' prior written notice. Termination for cause may be immediate for material breach not cured within days after written notice.

Client shall pay Consultant according to the fee schedule below. Fees are exclusive of applicable taxes unless otherwise required by law.

Confidentiality and HIPAA Compliance

Consultant shall treat all Client information as confidential and shall not disclose such information except as required to perform the Services or as required by law. If Consultant will create, receive, maintain, or transmit Protected Health Information (PHI) in connection with the Services, Consultant shall comply with all applicable federal and state laws governing PHI, including but not limited to maintaining appropriate administrative, physical, and technical safeguards.

Business Associate Obligations: Consultant will be considered a Business Associate for PHI purposes and will execute a Business Associate Agreement if PHI is accessed.

Data Return and Destruction

Upon expiration or termination of this Agreement, Consultant shall, at Client's direction, securely return or destroy all Client Confidential Information and PHI in Consultant's possession and certify in writing the completion of such destruction or return within days.

Indemnification and Liability

Each party shall indemnify, defend, and hold harmless the other party from claims arising out of its negligence or willful misconduct. Consultant's aggregate liability for direct damages arising out of or relating to this Agreement shall not exceed the total fees paid by Client to Consultant under this Agreement during the twelve (12) months preceding the claim.

Insurance

Consultant shall maintain professional liability insurance and commercial general liability insurance with limits sufficient to cover Consultant's obligations under this Agreement. Upon request, Consultant will provide certificates of insurance.

Representations; Compliance

Each party represents that it is duly authorized to enter into this Agreement and that performance will comply with applicable federal and state laws, including healthcare regulations and privacy laws. Consultant represents that it has all licenses, qualifications, and authorizations necessary to perform the Services.

Notices

All notices shall be in writing and delivered to the addresses provided above or to such other address as either party designates by written notice. Notices are effective upon personal delivery, certified mail, or overnight courier.

Governing Law; Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes by negotiation and, if unresolved, submit disputes to mediation prior to pursuing litigation.

Miscellaneous

This Agreement constitutes the entire understanding between the parties and supersedes prior agreements. No amendment is effective unless in writing and signed by both parties. If any provision is held invalid, the remaining provisions remain in effect.
