COMPLIANCE, LICENSURE, AND REGULATORY REQUIREMENTS

Provider represents and warrants that it maintains all required licenses, certifications, and registrations to perform the services described in the Original Agreement and this Addendum. Provider shall comply with all applicable federal, state, and local laws, rules, and regulations, including but not limited to privacy and anti-fraud statutes.

CONFIDENTIALITY AND HIPAA

All Protected Health Information ("PHI") accessed or disclosed pursuant to the Original Agreement and this Addendum shall be handled in compliance with applicable privacy laws. The parties affirm that they will implement and maintain appropriate administrative, physical, and technical safeguards to protect PHI and will execute or amend business associate arrangements as required.

INDEMNIFICATION AND INSURANCE

The indemnification and insurance requirements of the Original Agreement shall remain in full force, except as specifically modified by this Addendum. Each party shall maintain insurance coverage sufficient to cover its obligations and liabilities arising under the Original Agreement and this Addendum.

MISCELLANEOUS

Except as specifically modified by this Addendum, all other terms and conditions of the Original Agreement remain unchanged and in full force and effect. This Addendum may be executed in counterparts, each of which shall be an original and together shall constitute one instrument.
