7. Representations and Warranties. Each party represents that it has the full right, power and authority to enter into this Amendment and to perform its obligations hereunder, and that execution and delivery hereof has been duly authorized.

8. No Other Modifications. Except as expressly set forth in this Amendment, the Agreement remains in full force and effect. This Amendment and the Agreement constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior oral and written agreements relating thereto.

9. Governing Law. This Amendment shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles.

10. Severability; Survival. If any provision of this Amendment is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The rights and obligations of the parties which by their nature are intended to survive termination shall survive.
