Recitals and Effective Dates

This Contract Extension is made effective as of and amends the original Agreement between the parties dated .

Extension Term

The parties hereby extend the Term of the Agreement such that the extended Term shall commence on and shall expire on unless earlier terminated in accordance with the Agreement.

Business Associate Agreement or HIPAA addendum is attached or on file and remains in full force.

Indemnification and Liability

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any claims, liabilities, losses or expenses arising out of the indemnifying party’s negligence, willful misconduct or breach of this Extension. Limitation of liability provisions in the original Agreement shall continue to apply unless specifically modified herein.

Termination

Except as otherwise provided in this Extension, the Agreement may be terminated during the extended Term in accordance with its original termination provisions upon notice of days.

No less favorable termination rights for material breach, insolvency, or regulatory action are intended to be waived by this Extension.

Notices

Amendment; Governing Law

Except as expressly amended by this Extension, all terms and conditions of the Agreement remain in full force and effect. This Extension shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.
