HEALTHCARE SERVICES AGREEMENT

This Healthcare Services Agreement ("Agreement") is made and entered into as of Effective Date: by and between Facility Name: ("Facility") and Provider Name: ("Provider"). Facility and Provider are each a "Party" and collectively the "Parties."

Provider and Facility Information

Recitals

WHEREAS, Facility provides healthcare services and requires certain clinical services to be performed by qualified providers; and WHEREAS, Provider is duly licensed, has appropriate credentials and desires to provide such services under the terms and conditions set forth in this Agreement.

Services

1. Provider shall perform the services described below (the "Services") in a professional and timely manner consistent with generally accepted standards of care.

Compensation and Billing

2. Facility shall pay Provider in accordance with the fee schedule and billing procedures set forth below. Provider shall submit itemized invoices in a form reasonably acceptable to Facility.

Insurance; Indemnification

3. Provider shall, at its sole cost and expense, maintain professional liability insurance and any other coverage required by applicable law or Facility policy. Provider shall provide Certificate of Insurance upon request.

4. Each Party shall indemnify and hold harmless the other Party, its officers, directors and employees from and against any claims, liabilities, losses or expenses arising out of the indemnifying Party's negligence, willful misconduct, or breach of this Agreement, subject to applicable law.

Confidentiality and Protected Health Information

5. Provider and Facility shall maintain the confidentiality of patient information and protected health information (PHI) in accordance with applicable law. Provider shall implement appropriate administrative, physical and technical safeguards to protect PHI and shall only use or disclose PHI as permitted by this Agreement and law.

Term and Termination

6. The initial Term of this Agreement shall commence on the Effective Date and continue for Term Length: unless earlier terminated in accordance with this Agreement. Either Party may terminate for convenience upon Notice Period: days prior written notice to the other Party.

Representations; Compliance with Law

7. Each Party represents and warrants that it is duly organized and authorized to enter into this Agreement, holds all requisite licenses and permits, and will comply with all applicable federal, state and local laws, rules and regulations, including those governing licensing, billing and privacy.

Records; Audit Rights

8. Provider shall maintain accurate records supporting services rendered and charges billed. Facility shall have the right to audit such records upon reasonable notice and during normal business hours. Provider shall retain records for Record Retention Period: years.

Notices

9. All notices required or permitted under this Agreement shall be in writing and sent to the addresses below. Notice is effective upon receipt.

Governing Law; Dispute Resolution

10. This Agreement shall be governed by and construed in accordance with the laws of State: without regard to conflict of laws principles. The Parties agree to attempt negotiation in good faith; disputes not resolved by negotiation shall be resolved by binding arbitration in accordance with the Parties' election set forth below.

Miscellaneous

11. Entire Agreement; Amendment. This Agreement constitutes the entire agreement between the Parties and supersedes prior agreements. This Agreement may be amended only by a written instrument executed by both Parties.
