Recitals and Effective Date

This Healthcare Crisis Responder Contract (the "Agreement") is entered into by and between the Healthcare Organization named above and the Responder named above and is effective as of (the "Effective Date").

Scope of Services

Responder shall provide crisis response services as requested by the Organization, including but not limited to on-site triage, psychological first aid, short-term stabilization, coordination with medical staff, documentation of encounters, and after-action reporting. Specific assignments, locations, hours, and incident descriptions will be provided in individual deployment notices.

Term; Deployment; Scheduling

Term: This Agreement shall commence on the Effective Date and shall continue until unless earlier terminated in accordance with Section Termination below.

Deployment Notice: Organization will provide Responder with deployment notice and assignment details. Responder shall confirm availability within hours of receipt unless otherwise agreed in writing.

Compensation and Expenses

Independent Contractor; Taxes

Responder acknowledges and agrees that Responder is an independent contractor and not an employee of Organization. Responder is solely responsible for all federal, state, and local taxes, worker compensation coverage (if applicable), and benefits. Responder shall not represent that Responder is an employee, agent, or representative of Organization for any purpose other than the performance of duties expressly set forth in this Agreement.

Insurance; Credentials; Background Checks

Responder shall maintain professional liability insurance with minimum limits of $ per claim and general liability insurance of not less than $. Proof of insurance must be provided to Organization prior to deployment.

Unauthorized use or disclosure of protected information is a material breach of this Agreement.

Documentation; Reporting; Quality Assurance

Responder shall complete documentation for each encounter in the form specified by Organization within hours. Responder agrees to participate in quality assurance reviews and provide after-action reports as requested.

Termination

Either party may terminate this Agreement for convenience upon days written notice. Organization may immediately terminate for cause where Responder violates material terms, engages in misconduct, or presents a risk to patient safety.

Indemnification and Liability

Responder shall indemnify, defend, and hold harmless Organization, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses arising from Responder's negligent acts or omissions in connection with performance of this Agreement, except to the extent such claims arise from Organization's gross negligence or willful misconduct.

Governing Law; Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to conflict of law principles. Parties agree to good faith negotiation to resolve disputes; if unresolved, disputes shall be resolved by binding arbitration in the agreed venue unless otherwise required by law.
