HEALTHCARE CTA AGREEMENT

Scope of Services

Site shall conduct the clinical investigation in accordance with the Protocol, Good Clinical Practice, applicable laws and regulations, and the terms set forth in this Agreement. Sponsor shall provide investigational product, study materials, and required training.

Sponsor agrees to compensate Site for performance of study-related activities according to the budget attached as Exhibit A. Payments are contingent upon receipt of proper invoice and required deliverables.

Confidentiality, Data Use, and Publications

Each party shall keep confidential all proprietary information disclosed by the other and shall not use such information except to perform obligations under this Agreement. Investigator-authored publications shall be subject to Sponsor review for a limited period to protect confidential information and patent rights; Sponsor review shall not unreasonably delay publication.

Indemnification and Insurance

Sponsor shall indemnify and hold harmless Site, its investigators and personnel from claims arising from the use of the investigational product, to the extent caused by Sponsor's negligent acts or willful misconduct. Site shall maintain professional liability insurance covering investigational activities and shall provide certificates of insurance upon request.

HIPAA and Protected Health Information (PHI)

To the extent PHI is accessed or disclosed in connection with the Study, the parties shall comply with applicable privacy laws. Site shall obtain any required patient authorizations and shall de-identify data where feasible prior to transfer to Sponsor. Use of PHI by Sponsor is limited to purposes of study conduct and regulatory compliance.

Audits, Records and Access

Sponsor or its designees shall have the right to audit Site records relevant to the study, subject to reasonable notice and confidentiality obligations. Site shall retain essential documents for the period required by applicable law and by Sponsor.

Term, Termination and Effect of Termination

This Agreement shall commence on the Effective Date and continue until completion of the Study unless earlier terminated. Either party may terminate for cause upon written notice if the other party materially breaches and fails to cure within the notice period set forth below.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state specified below without regard to conflict of laws principles. Parties shall attempt to resolve disputes in good faith and may pursue mediation prior to litigation.

Representations, Warranties and Certifications

Each party represents and warrants that it has the authority to enter into this Agreement, that its performance will comply with applicable laws, and that it will not knowingly subject the other party to regulatory liability through the wrongful disclosure of information.
