Insurance, Liability & Indemnification

Each party shall maintain professional liability insurance with minimum limits sufficient for the delegated services. Delegatee shall indemnify and hold harmless Delegating Party from claims arising from Delegatee's negligent acts or omissions in performing delegated tasks. Delegating Party shall indemnify Delegatee for claims arising from acts within Delegating Party's exclusive control or direction.

Term, Termination & Amendment

This Agreement commences on the Effective Date and continues until terminated by either party upon written notice. Either party may terminate immediately for material breach, loss of licensure, or other cause affecting patient safety. Amendments must be in writing and signed by both parties.
