HEALTHCARE DME AGREEMENT

This Durable Medical Equipment Agreement (the Agreement) is entered into on between the Supplier and the Patient identified below. The Supplier agrees to provide, and the Patient agrees to accept, the durable medical equipment described herein in accordance with the terms, conditions, and acknowledgements set forth in this document.

Equipment Description

Equipment provided under this Agreement shall be described below. Supplier warrants that equipment is appropriate and functional for the prescribed use at the time of delivery.

Delivery, Installation, and Training

Supplier shall deliver and, if applicable, install the equipment at the Patient's address and provide instruction on safe operation. Delivery and installation dates shall be coordinated with Patient and documented at time of delivery. Supplier is responsible for initial setup and competency demonstration for the Patient or authorized caregiver.

Payment, Billing, and Assignment of Benefits

Patient shall be responsible for charges not covered by third-party payors. Patient authorizes Supplier to bill Patient's insurance and to release medical and billing information necessary to process claims. Patient further authorizes payment of insurance benefits directly to Supplier to the extent permitted by law.

Patient Responsibilities and Use

Patient agrees to: use equipment only as prescribed; follow supplier and prescriber instructions; notify Supplier of malfunctions; return rented equipment upon termination; keep equipment clean and secure; and accept financial responsibility for loss or damage due to misuse or neglect. Patient acknowledges receipt of operating instructions and training at delivery, unless otherwise noted below.

Supplier Warranties, Maintenance, and Liability

Supplier warrants that equipment is in good working order at time of delivery. Supplier will perform repairs or replace defective equipment in accordance with applicable law and Supplier's written policies. Except where prohibited by law, Supplier's total liability for claims related to equipment shall be limited to direct, proven damages and shall not include consequential or incidental damages.

Returns, Termination, and Replacement

This Agreement may be terminated by either party upon written notice if the other party materially breaches the Agreement. Upon termination for any reason, Patient shall return rented equipment within the time specified by Supplier. Replacement of defective items will be performed promptly following Supplier verification of defect.

HIPAA and Privacy Acknowledgement

Patient acknowledges receipt of Supplier's privacy practices and consents to the use and disclosure of protected health information as necessary to furnish equipment, seek payment, and coordinate care. Patient may revoke this authorization in writing, subject to actions already taken in reliance on this authorization.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state in which the equipment is delivered. Any dispute arising under this Agreement shall be resolved by the dispute resolution mechanism selected by the parties in good faith; absent agreement, disputes shall be resolved in the courts of the state of delivery.

Miscellaneous

Patient represents that the information provided herein is complete and accurate to the best of Patient's knowledge. This Agreement constitutes the entire agreement between the parties regarding the equipment and supersedes prior oral or written statements. Modifications must be in writing and signed by both parties.
