HEALTHCARE DOCTOR CONTRACT

Recitals

Whereas Medical Practice engages in the provision of medical services and desires to contract with Physician to provide professional services on the terms and conditions set forth herein; and Whereas Physician is duly licensed and qualified to render such services and desires to provide such services under the terms of this Agreement.

Scope of Services

Physician shall provide professional medical services within the scope of Physician's licensure and specialty as assigned by Practice. Services include, without limitation, patient evaluation, diagnosis, treatment, documentation, on-call coverage, participation in quality programs, and attendance at required meetings consistent with the schedule below.

Compensation & Billing

Practice shall compensate Physician as set forth below. Physician shall render services personally and shall comply with Practice billing policies. Physician acknowledges that compensation is subject to applicable withholdings if Physician is an employee; if independent contractor, Physician is responsible for all taxes and benefits.

Term and Termination

The initial term of this Agreement shall be for a period of from the Effective Date and shall automatically renew for successive terms unless either party provides written notice of nonrenewal at least days prior to the end of the then-current term. Either party may terminate this Agreement for cause upon written notice for material breach, loss of license, or failure to maintain required insurance.

Insurance & Indemnification

Physician shall maintain professional liability insurance with limits not less than and shall furnish certificates of insurance to Practice upon execution and upon renewal. Physician agrees to indemnify and hold harmless Practice for claims arising from Physician's negligent acts or omissions.

Credentialing, Quality & Compliance

Physician shall cooperate with Practice's credentialing process, submit all required documentation within days, and meet applicable quality and performance standards. Physician shall comply with all federal and state laws, regulations, and Practice policies, including those governing controlled substances and recordkeeping.

Confidentiality & HIPAA Compliance

Physician acknowledges obligations under applicable privacy and security laws. Physician shall maintain the confidentiality of patient information, implement safeguards required by law, and only use or disclose Protected Health Information as permitted in the course of treatment, payment, and healthcare operations or as otherwise authorized by law.

Independent Contractor; Taxes; Benefits

The parties agree that Physician will provide services as an independent contractor unless otherwise expressly agreed in writing. Physician is responsible for all taxes, benefits, and other obligations arising from Physician's performance of services unless otherwise stated in this Agreement.

Non-Compete / Non-Solicitation

During the term of this Agreement and for a period of following termination, Physician shall not provide substantially similar services within a radius of Practice's primary service location, nor solicit Practice's active patients or staff in a manner that would cause material harm to Practice. Reasonableness of these restrictions shall be governed by applicable law.

Representation & Warranties

Physician represents and warrants that Physician holds all required licenses and privileges, has no restrictions that would prevent performance, and is not subject to sanctions that would materially affect the provision of services. Practice represents that it has authority to enter this Agreement.

Notice

All notices required under this Agreement shall be in writing and delivered to the addresses provided in this Agreement by hand, certified mail, or nationally recognized overnight courier and shall be effective upon receipt.

Miscellaneous

This Agreement constitutes the entire agreement between the parties and supersedes prior agreements. Any amendment must be in writing and signed by both parties. If any provision is held invalid, the remainder shall continue in full force and effect to the extent permitted by law.
