1. Purpose and Parties

2. Scope of Services

Donor acknowledges that the retainer fee secures scheduling and initial administrative expenses. Specific compensation milestones, including any additional payments for repeat cycles, egg-sharing, or bonuses, will be set forth in the payment_schedule above. Donor is responsible for reporting compensation for tax purposes unless otherwise required by law.

4. Refund, Cancellation and Termination

Refunds of the retainer fee are subject to the Agency's cancellation policy. Nonrefundable costs include diagnostic testing, third-party fees, and administrative expenses incurred prior to cancellation. Either party may terminate for material breach with written notice; termination will be handled in accordance with the refund policy set forth in the payment_schedule.

5. Medical Screening, Testing and Authorization

Donor consents to medical and psychological screening, laboratory testing, genetic carrier screening, and infectious disease screening as required by the treating physician and applicable standards. Donor authorizes release of medical records and test results to Agency and to Intended Recipients or their medical providers where required for treatment planning and regulatory compliance.

6. Risks, Counseling and Informed Consent

Donor acknowledges that egg donation carries medical risks including but not limited to ovarian hyperstimulation syndrome, bleeding, infection, anesthesia-related risks, and potential long-term reproductive or medical consequences. Donor represents that she has been given an opportunity to ask questions and has been advised to obtain independent medical and legal counsel prior to signing.

7. Confidentiality, Anonymity and Use of Genetic Material

Donor agrees that genetic material produced during the course of donation shall be the property of the Intended Recipients or as otherwise directed by written contract associated with any particular cycle. Donor agrees to maintain confidentiality regarding intended recipients unless disclosure is required by law. Agency will maintain donor records in accordance with applicable privacy standards.

8. Representations, Warranties and Indemnification

Donor represents she is of legal age to donate eggs under applicable law, is not currently pregnant, and has provided truthful medical, genetic and social history to the best of her knowledge. Donor will indemnify and hold harmless Agency, its affiliates, employees, and the treating physicians from claims arising from Donor's breach of representations, willful misconduct, or failure to comply with medical instructions.

9. Legal and Tax

Compensation paid under this Agreement shall be reportable as required by applicable tax law. Donor acknowledges responsibility for any taxes or reporting obligations unless otherwise stated in written agreement specific to the cycle. Donor is retained as an independent contractor; nothing in this Agreement creates an employment relationship.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state selected by the parties below. All disputes arising under this Agreement shall be resolved by binding arbitration in the agreed venue unless otherwise mutually agreed in writing.
