Employee represents and warrants that Employee holds and will maintain all required licenses, certifications and registrations necessary to perform the duties. Employee shall promptly notify Employer in writing of any change, suspension, limitation, investigation, or disciplinary action affecting Employee's license or privileges.

Employer may require and Employee agrees to cooperate with credentialing and privileging processes, background checks and drug screening as a condition of employment.

Confidentiality; HIPAA and Patient Information

Employee shall maintain the confidentiality of patient and Employer proprietary information in accordance with applicable law and Employer policies. Employee acknowledges and agrees to comply with privacy and security obligations, including applicable patient privacy regulations.

Non-Competition; Non-Solicitation

During employment and for the period stated below following termination for any reason, Employee shall not directly compete with Employer or solicit Employer patients or employees in violation of this Agreement, to the extent permitted by law.

Termination

This Agreement may be terminated by Employer or Employee as provided herein. Employer may terminate for cause for material breach, loss or restriction of license, conviction of a felony or acts of professional misconduct. Either party may terminate without cause upon written notice: days.
