Patient hereby consents to receive the services described in this Contract and acknowledges that Facility has provided information regarding the nature of the proposed services, reasonably foreseeable risks and benefits, and alternatives. Patient acknowledges the right to refuse or withdraw consent at any time, subject to reasonable notice and Facility policies governing discontinuation of care.

Patient authorizes Facility to use and disclose individually identifiable health information as necessary for treatment, payment and healthcare operations. The Facility represents that it will safeguard protected health information in accordance with applicable privacy standards and will obtain written authorization for disclosures beyond treatment, payment, and operations unless otherwise permitted by law.

Rights, Obligations and Risk Allocation

Facility warrants that services will be provided in a professional manner consistent with applicable standards. Facility does not guarantee specific outcomes. Patient agrees to provide accurate medical history and to follow reasonable care instructions. Patient is responsible for timely payment of undisputed charges.

Indemnification: Each Party agrees to indemnify, defend, and hold harmless the other Party from and against any third-party claims, liabilities, losses, and expenses resulting from the indemnifying Party's negligence, willful misconduct, or material breach of this agreement.

Termination: Either Party may terminate this Contract upon written notice if the other Party materially breaches any obligation and fails to cure within thirty (30) days after written notice, or immediately in the event of a material threat to patient safety.

Governing Law and Dispute Resolution: This Contract shall be governed by the laws of the state in which the Facility is located. The Parties agree to negotiate in good faith to resolve disputes; if unresolved, disputes shall be resolved through binding arbitration consistent with applicable arbitration statutes.

Force Majeure and Severability: Neither Party shall be liable for delays caused by events beyond reasonable control. If any provision is held invalid, remaining provisions shall remain in effect.
