Term of Appointment

The Institution hereby appoints the Fellow to the Fellowship Program for the period commencing on and ending on , unless earlier terminated in accordance with this Agreement.

Duties, Educational Requirements and Supervision

The Fellow shall perform clinical, teaching, research and administrative duties as assigned by the Program Director consistent with the educational objectives of the Fellowship. The Fellow shall comply with program curricula, required conferences, call obligations, and clinical supervision requirements.

Compensation, Benefits and Professional Liability

The Fellow shall receive a stipend in the annual amount of payable in accordance with the Institution's payroll practices. The Fellowship does not create an employment relationship unless expressly stated in a separate employment agreement.

The Institution shall provide or procure professional liability insurance covering the Fellow for activities within the scope of the Fellowship as required by institutional policy. The Fellow shall maintain current licensure and any required certifications; failure to do so is grounds for immediate suspension or termination.

Conditions Precedent and Onboarding Requirements

This Agreement is conditional upon: satisfactory verification of the Fellow's credentials and background check; demonstration of required immunizations and TB status; completion of any required drug screening; and any required credentialing for clinical privileges.

Workload, Moonlighting and Leave

The Fellow is expected to devote full professional time to fellowship duties during the term. Moonlighting outside the Program is permitted only with prior written approval from the Program Director and consistent with accreditation and licensure requirements.

Confidentiality, HIPAA and Intellectual Property

The Fellow acknowledges obligations to protect patient information under applicable privacy laws and institutional policies. The Fellow agrees to maintain confidentiality of patient records and Institution proprietary information at all times, both during and after the term of this Agreement.

Termination and Remedies

Either party may terminate this Agreement for cause upon written notice specifying the grounds for termination. For reasons of immediate patient safety, loss of licensure, felony conviction, or material breach of institutional policy, the Institution may suspend or terminate the Fellow immediately without prior notice. Upon termination, the Fellow shall return Institution property and comply with transition requirements.

Indemnification; Insurance

Each party shall be responsible for claims arising from its own acts or omissions. The Fellow agrees to notify the Institution promptly of any claim or suit arising from activities within the scope of the Fellowship. The Institution will provide customary defense and indemnity as required by institutional policy and applicable law for activities occurring within the scope of duties.

Compliance with Laws and Policies

The Fellow shall comply with all applicable federal, state and local laws, regulations, and Institution policies including nondiscrimination, safety, research conduct, and billing practices. Violation of such laws or policies may result in disciplinary action up to and including termination.

Dispute Resolution and Governing Law

The parties will attempt to resolve disputes in good faith. This Agreement shall be governed by the laws of Governing State: without regard to its conflicts of law principles. Any binding dispute resolution provisions agreed by the parties should be stated here.

Miscellaneous

This Agreement constitutes the entire agreement between the parties concerning the Fellowship and supersedes prior agreements and understandings. Amendments must be in writing and signed by both parties. If any provision is determined invalid, the remaining provisions remain in effect.
