Duties, Supervision, and Evaluation

The Fellow will perform duties as set forth by the Sponsoring Institution and its clinical supervisors. The Fellow acknowledges that duties may include patient care, documentation, administrative tasks, teaching, and research activities under supervision.

Stipend, Benefits and Expenses

The Sponsoring Institution agrees to provide stipend and benefits as stated below. Stipend is intended to support the Fellow during the Term; it is not a salary or wage for employment unless expressly designated.

Licensure, Credentialing, Background and Health Requirements

The Fellow shall maintain all required professional licenses, certifications, and credentials during the Term. The Fellow's participation is contingent upon successful completion of credentialing, background check, health screening, and immunization requirements.



Confidentiality, HIPAA and Data Use

The Fellow shall at all times comply with applicable federal and state privacy laws, including regulations governing protected health information. The Fellow will not access, use, or disclose patient information except as authorized and necessary to perform Fellowship duties. Breach of confidentiality constitutes grounds for immediate termination and may give rise to civil or criminal penalties.

Research, Intellectual Property and Publication

Research conducted during the Fellowship that uses institutional resources, patient data, or institutional intellectual efforts will be subject to the Sponsoring Institution's policies. Ownership, authorship, and use of research results shall be governed by institutional policy and applicable law. The Fellow shall disclose inventions and cooperate with any required assignment of rights where institution funding or substantial institutional resources are used.

Insurance, Indemnification and Liability

The Sponsoring Institution agrees to maintain appropriate clinical supervision and institutional liability insurance for activities undertaken as part of the Fellowship. The Fellow is responsible for maintaining any required individual professional liability coverage, as specified below.

Termination and Withdrawal

Either party may terminate this Agreement for cause upon written notice describing the breach. The Sponsoring Institution may immediately suspend or terminate the Fellow's participation for reasons including but not limited to failure to maintain licensure, breach of confidentiality, loss of clinical privileges, or failure to meet program requirements. The Fellow may withdraw by providing written notice in accordance with the Notices section below.

Dispute Resolution and Governing Law

The parties agree to attempt to resolve disputes through good-faith negotiation. If unresolved, disputes shall be resolved by binding arbitration under the applicable rules chosen by the Sponsoring Institution. This Agreement shall be governed by the laws of the state in which the Sponsoring Institution is located, without regard to conflict-of-law principles.

Notices required under this Agreement shall be given in writing and delivered to the addresses below.

Certification and Consents

By signing below, the Fellow certifies under penalty of perjury that the information provided herein is true and complete. The Fellow authorizes the Sponsoring Institution to obtain credentialing and background information as required. The Fellow acknowledges review and acceptance of applicable institutional policies governing conduct, research, privacy, and safety.
