The Fellow acknowledges that unauthorized use or disclosure of PHI is prohibited and may result in termination, reimbursement obligations, and legal liability.

7. Intellectual Property; Publications

Unless otherwise agreed in writing, research data and publications resulting from the Fellow's work shall be governed by the intellectual property policies of the Grantor and applicable laws. The Fellow agrees to acknowledge Grantor support in any publication and to provide Grantor with copies of manuscripts prior to submission for a period not to exceed 30 days for review of proprietary or confidential information.

8. Termination; Suspension; Remedies

Grantor may suspend or terminate this Agreement for cause upon written notice if the Fellow materially breaches any term, fails to comply with applicable laws or institutional policies, or engages in conduct that jeopardizes patient safety or research integrity. Upon termination, the Fellow must promptly return unexpended funds and any Grantor property.

9. Indemnification and Insurance

Each party shall indemnify and hold harmless the other from claims arising from its negligent acts or omissions. The Fellow shall maintain professional liability insurance at levels reasonably acceptable to the Grantor where the Fellow's duties involve patient care or clinical research.

10. Audit; Records; Access

The Fellow shall maintain accurate books and records of expenditures and program activities related to the grant. Grantor or its designees shall have the right to audit records upon reasonable notice during the term of the Agreement and for a period of not less than three (3) years following final payment.

11. Compliance with Law; Representations and Warranties

The Fellow represents and warrants that all information provided to the Grantor is true and complete and that the Fellow will comply with all applicable federal, state, and local laws, institutional rules, and professional standards applicable to fellowship activities, including clinical practice and research.

15. Miscellaneous Provisions

Amendments to this Agreement must be made in writing and executed by authorized representatives of both parties. If any provision is held invalid, remaining provisions shall remain in full force.
