HEALTHCARE GRANT AGREEMENT

This Healthcare Grant Agreement (the Agreement) is entered into as of (Effective Date) by and between:

RECITALS

WHEREAS, Grantor provides financial support for programs and projects that advance healthcare delivery, research, and patient care; and

WHEREAS, Grantee has proposed the program, project, or services described in the Proposal attached as Exhibit A and warrants it has the capacity and authority to perform the activities described herein;

GRANT PURPOSE AND SCOPE

Grantor agrees to provide funding to Grantee to support the following purpose:

GRANT AMOUNT AND PAYMENT

Grant Amount: $ payable in accordance with the payment schedule below.

BUDGET, ALLOWABLE COSTS, AND USE OF FUNDS

Grantee shall use grant funds solely for allowable costs identified in the approved budget. Material changes to the budget require prior written approval by Grantor.

REPORTING AND MONITORING

Grantee shall submit progress reports, financial reports, and final evaluation documentation as specified below. Failure to submit required reports may result in suspension or termination of funding.

COMPLIANCE WITH LAWS; HIPAA AND PRIVACY

Grantee shall comply with all applicable federal, state, and local laws and regulations, including but not limited to privacy and security requirements governing Protected Health Information (PHI). Grantee shall implement and maintain administrative, physical, and technical safeguards to protect PHI and shall limit disclosure and use of PHI to that which is necessary to perform activities under this Agreement.

In the event of an unauthorized use or disclosure of PHI or other security incident, Grantee shall notify Grantor within days and shall cooperate in mitigation and notification efforts as required by law.

AUDIT AND RECORDS

Grantee shall maintain complete, accurate, and auditable books, records, and supporting documentation relating to the use of grant funds for a period of at least years after final payment. Grantor reserves the right to audit Grantee's records upon reasonable notice.

INTELLECTUAL PROPERTY; DATA RIGHTS

Unless otherwise agreed in writing, Grantee retains ownership of pre-existing intellectual property. Intellectual property and data created under this Agreement shall be treated as follows:

CONFIDENTIALITY AND PUBLICITY

Each party agrees to keep confidential non-public information disclosed under this Agreement. Grantee shall not use Grantor's name, logos, or identify Grantor in press releases or publications without prior written consent, except where disclosure is required by law.

TERMINATION

This Agreement may be terminated by Grantor for material breach, failure to comply with reporting obligations, misuse of funds, or as otherwise provided herein. Upon termination, Grantee shall return unexpended grant funds and provide a final accounting of expenditures.

INDEMNIFICATION AND INSURANCE

Grantee shall indemnify and hold Grantor harmless from claims arising from Grantee's performance, except to the extent caused by Grantor's willful misconduct. Grantee shall maintain appropriate insurance coverage and provide certificates upon request.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the state or jurisdiction specified below. The parties agree to attempt good faith resolution of disputes prior to initiating litigation.

NOTICES

Notices under this Agreement shall be sent to the addresses below by certified mail or other agreed method.

MISCELLANEOUS

This Agreement, including any exhibits and attachments, constitutes the entire agreement between the parties and supersedes prior discussions. Amendments must be in writing and signed by authorized representatives of both parties.
