HEALTHCARE GSA AGREEMENT

This Healthcare General Services Agreement ("Agreement") is entered into on Effective Date: by and between Provider Name: and GSA Entity Name: .

1. PARTIES AND AUTHORITY

Provider represents and warrants that it is duly licensed and authorized to provide the healthcare services described herein and that all personnel performing services under this Agreement are appropriately credentialed. GSA Entity represents that it has authority to engage Provider to perform services for the patient identified below under the terms of this Agreement.

Provider shall submit claims in accordance with accepted billing practices. GSA Entity shall pay Provider in accordance with the Payment Terms set forth below; third-party payer reimbursement does not relieve GSA Entity of its payment obligations where applicable.

Provider shall perform the services in accordance with applicable professional standards and all federal and state healthcare laws and regulations. All services shall be documented contemporaneously in the patient record.

5. TERM; TERMINATION

This Agreement commences on the Effective Date and continues until Services completion or termination. Either party may terminate for convenience upon thirty (30) days' prior written notice. Either party may terminate immediately for material breach, failure to maintain required licensure or insurances, or for actions that present an imminent risk to patient safety.

6. COMPENSATION AND PAYMENT TERMS

Unless otherwise agreed in writing, payments are due within thirty (30) days of invoice. Disputed charges must be submitted in writing within fifteen (15) days of receipt of an invoice. Failure to pay undisputed sums when due shall permit Provider to suspend services following ten (10) days' written notice.

7. COMPLIANCE WITH LAWS; HEALTHCARE REQUIREMENTS

Each party shall comply with all applicable federal, state and local laws, regulations and rules pertaining to healthcare, including but not limited to privacy and security laws, anti-kickback statutes, and billing and fraud prevention laws. Provider shall maintain all professional licenses and certifications required to perform the Services.

8. PRIVACY, SECURITY AND HIPAA

The parties acknowledge that patient health information is subject to applicable privacy laws. Provider and GSA Entity shall implement administrative, technical and physical safeguards to protect protected health information. Any disclosure of protected health information shall be limited to the minimum necessary to accomplish the permitted purpose. In the event of a breach of unsecured protected health information, the notifying party shall provide written notice to the other party within seventy-two (72) hours of discovery and cooperate with any required mitigation and notification efforts.

Provider shall maintain complete and accurate patient records. GSA Entity or its designees shall have the right to audit billed services and records related to services performed under this Agreement upon reasonable notice and during normal business hours. Records shall be retained for a minimum of six (6) years following the date of service or longer if required by law.

11. INDEMNIFICATION; LIMITATION OF LIABILITY

Each party shall indemnify and hold harmless the other party from claims, liabilities, losses and expenses arising from its negligent acts, omissions or willful misconduct in connection with this Agreement. Except to the extent prohibited by law, neither party shall be liable for consequential, special or punitive damages.

12. INSURANCE

Provider shall maintain professional liability insurance, general liability insurance and such other coverages as required by law and by this Agreement. Upon request, Provider shall furnish certificates of insurance naming GSA Entity as additional insured where appropriate.

13. CONFIDENTIALITY

Each party shall maintain the confidentiality of records and information received in connection with the services and shall not disclose such information except as required by law or as necessary to perform the services or to obtain payment.

14. AUTHORIZATION; REVOCATION; EXPIRATION

Patient or patient representative hereby authorizes Provider to furnish healthcare services and to release medical information as necessary for treatment, payment and healthcare operations as described above. This authorization may be revoked in writing at any time except to the extent that action has been taken in reliance on it.

16. MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior agreements.
