Recitals

The Practice operates a clinical dental hygiene service and desires to engage the Hygienist to perform professional dental hygiene services subject to the terms and conditions set forth in this Contract. The Hygienist represents that they hold all required licenses and insurances and are authorized to perform the services described herein.

Services and Duties

The Hygienist shall provide professional dental hygiene services including prophylaxis, periodontal assessment and charting, scaling, patient education, application of preventive agents, and such other clinical duties as are customarily performed by a registered dental hygienist and as reasonably requested by the Practice.

The Practice shall remit payment less applicable withholdings where the Hygienist is treated as an employee. If the Hygienist is engaged as an independent contractor, the Hygienist is solely responsible for payment of all taxes and benefits unless otherwise agreed in writing.

Classification selected above governs payroll, tax withholding, and benefit obligations. The Practice and Hygienist shall comply with all applicable labor and tax laws and will execute any required documentation to effectuate the selected classification.

Each party shall indemnify and hold harmless the other party from claims, liabilities, damages, and expenses arising from the indemnifying party’s negligence, willful misconduct, or breach of this Contract. Indemnification obligations shall survive termination to the extent arising from acts or omissions occurring prior to termination.
