The anticipated schedule and milestone target dates are set forth below. Milestone dates are target dates and subject to adjustment by mutual written agreement.

Project Governance & Responsibilities

The parties shall appoint project managers and governance representatives to oversee progress. The parties shall meet at agreed intervals to review status, risks, and issues. The Vendor and Client responsibilities are set forth below.

Fees, Payment & Taxes

Client agrees to pay Vendor the fees set forth below according to the payment schedule. Fees are exclusive of applicable taxes unless otherwise indicated.

Change Orders

Any change to the scope, schedule, or fees shall be made only by written change order signed by authorized representatives of both parties. Change orders shall include a description of the change, impact on schedule, and any additional fees.

Data Security, Privacy & HIPAA Compliance

Vendor acknowledges that it may receive, access, or process protected health information (PHI) in performance of the services. Vendor shall implement and maintain administrative, physical, and technical safeguards to protect PHI consistent with applicable law and shall enter into any required business associate agreement. Vendor will report any unauthorized access, use, or disclosure of PHI to Client promptly and will cooperate in mitigation and remediation.

Confidentiality

Each party shall hold in confidence and not disclose Confidential Information of the other party except as necessary to perform obligations under this Proposal or as required by law. Confidential Information includes PHI, business plans, financial information, and technical designs. Confidentiality obligations survive termination for a period of three (3) years, except for PHI where longer retention may apply by law.

Warranties, Liability & Indemnification

Vendor warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY STATED, VENDOR DISCLAIMS ALL OTHER WARRANTIES. Each party shall indemnify and hold harmless the other from third-party claims arising from its gross negligence or willful misconduct. Neither party shall be liable for incidental or consequential damages except to the extent arising from a breach of confidentiality or willful misconduct.

Termination

Either party may terminate this agreement for material breach if the breach is not cured within thirty (30) days following written notice. Upon termination, Client will pay Vendor for all services performed and expenses incurred through the effective termination date. Sections regarding confidentiality, indemnification, and payment shall survive termination.

Acceptance Criteria

Deliverables will be accepted following completion of acceptance testing and demonstration of required functionality. Acceptance shall not be unreasonably withheld and shall occur within ten (10) business days of delivery unless Client provides written notice specifying deficiencies.
