HEALTHCARE INSPECTION AGREEMENT

This Healthcare Inspection Agreement (the Agreement) is entered into on by and between:

RECITALS

WHEREAS, Facility operates a healthcare facility and maintains patient care areas, medical records, equipment and related operational information; and

WHEREAS, Inspector is engaged to perform an inspection as described below for purposes of compliance review, quality assurance, accreditation preparation or other lawful inspection purposes agreed by both parties.

SCOPE OF INSPECTION

Inspector shall be permitted to inspect the Facility's premises, equipment, policies and records only to the extent described in this Section. The inspection will be limited to the following areas and items (check all that apply):

Premises, environmental and safety conditions

Medical equipment and device condition and maintenance records

Policies, procedures and quality assurance documentation

Limited access to medical records or patient information as authorized below

CONFIDENTIALITY, HIPAA & DATA HANDLING

Inspector acknowledges that in the course of the inspection it may encounter Protected Health Information (PHI) and other confidential information. Inspector shall:

  • Use PHI only for the inspection purposes expressly authorized by Facility;
  • Maintain administrative, physical and technical safeguards at least as protective as those required by applicable law;
  • Limit access to PHI to personnel who have a legitimate need to access such information and who are bound by confidentiality obligations;
  • Not copy, remove or transmit PHI outside the Facility without prior written authorization; and
  • Promptly notify Facility of any unauthorized use or disclosure of PHI and cooperate in mitigation efforts.

INSPECTOR REPRESENTATIONS & WARRANTIES

Inspector represents and warrants that: (a) it is authorized and qualified to perform the inspection; (b) it shall comply with all applicable laws and regulatory requirements while on Facility premises; (c) all personnel engaged in the inspection are trained in privacy requirements and have executed confidentiality obligations; and (d) it will carry and maintain liability insurance in commercially reasonable amounts.

PAYMENT, FEES & EXPENSES

Facility shall pay Inspector a fee in accordance with the following:

INDEMNIFICATION & LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising out of its negligent acts or omissions in performing its obligations under this Agreement. Facility shall not be liable for loss of or damage to Inspector's equipment except to the extent caused by Facility's gross negligence or willful misconduct.

ACCESS RULES & CONDUCT

Inspector, its agents and employees shall comply with Facility's visitor policies, infection control procedures and all reasonable directions by Facility staff. Inspector agrees not to interfere with patient care and to promptly cease any inspection activity that Facility designates as disruptive or unsafe.

TERMINATION

Either party may terminate this Agreement for convenience upon written notice to the other party. Termination shall not relieve Facility of its obligation to pay for inspection work performed prior to termination nor relieve Inspector of its confidentiality obligations.

RECORDS RETENTION & DESTRUCTION

All copies of PHI or confidential Facility documents created or obtained by Inspector during the inspection shall be returned to Facility or destroyed within days following completion of the inspection, unless a different disposition is mutually agreed in writing.

GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the state of without regard to conflict of laws principles. The parties agree that disputes shall be resolved by negotiation in good faith and, if unresolved, by binding arbitration in the county where Facility is located unless otherwise mutually agreed.

MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes prior discussions and understandings. Any amendment must be in writing and signed by authorized representatives of both parties.
