HEALTHCARE LAB SERVICES AGREEMENT

1. Scope of Services

5. Compliance, Accreditation, and PHI

Laboratory represents that it maintains applicable licensure and accreditation and will perform testing in compliance with federal, state and local law. Both Parties shall comply with all applicable privacy and security laws governing protected health information and shall enter into a Business Associate Agreement where required.

6. Confidentiality and Data Security

Each Party agrees to maintain the confidentiality of PHI and other confidential information received from the other Party and to implement administrative, physical, and technical safeguards appropriate to the risk. Unauthorized use or disclosure of PHI shall be reported promptly in accordance with applicable law.

7. Liability, Indemnification and Insurance

Each Party shall maintain insurance adequate to meet its obligations. Laboratory's liability for claims arising from testing shall be limited to direct damages and capped at an aggregate amount of unless otherwise required by law. Each Party shall indemnify and hold harmless the other Party for claims arising from its negligence or willful misconduct.

8. Term, Termination and Transition
