What a Healthcare Level Agreement Is and when it applies

A Healthcare Level Agreement (HLA) is a formal contract between a healthcare organization and a vendor or business associate that defines responsibilities for handling protected health information (PHI), service performance, security controls, and incident response. It allocates liability, sets measurable service-level targets (uptime, response times), and documents administrative, technical, and physical safeguards required under HIPAA. HLAs cover permitted uses of PHI, data access limits, breach notification steps, subcontractor rules, and audit rights. The HLA supplements a Business Associate Agreement when third parties process or transmit PHI on behalf of a covered entity.

Why a precise Healthcare Level Agreement matters

A clear HLA reduces compliance risk, defines operational expectations, and supports HIPAA obligations by documenting safeguards and incident procedures. It provides measurable service targets for uptime and response, and clarifies who is responsible for patient data security and breach notifications.

Why a precise Healthcare Level Agreement matters

Which organizations and roles typically complete an HLA

Use this agreement when a healthcare provider, payer, or business associate engages a vendor that will store, transmit, or process PHI.

  • Healthcare providers and systems — Legal, privacy, and IT finalize operational and compliance obligations for vendors.
  • Business associates and vendors — Security teams document technical safeguards, personnel access, and subcontractor obligations.
  • Compliance and procurement teams — Coordinate SLAs, insurance, indemnity, and renewal or termination terms.

Final review typically involves legal counsel, privacy/security officers, and operational managers to confirm technical and contractual alignment before signatures.

Essential clauses to include in a professional Healthcare Level Agreement

A professional HLA should clearly allocate responsibilities and provide measurable controls. Include precise language for data, security, monitoring, and remediation to avoid ambiguity during incidents and audits.

Parties

Identify covered entity and business associate by full legal name, address, and role; include subcontractor successor obligations and contact points for notices.

Scope

Define services, systems, and data flows in scope; list environments (production, staging) and exclude unrelated systems to limit contractual exposure.

PHI Types

Enumerate categories of PHI exchanged (demographics, clinical notes, payment data) and limit allowed uses and disclosures explicitly.

Security Controls

Specify administrative, physical, and technical safeguards, encryption requirements, access controls, multifactor authentication, and vulnerability management frequency.

Service Levels

Set measurable metrics (uptime, mean time to respond, mean time to remediate), reporting cadence, penalties or credits for missed targets, and escalation paths.

Breach Protocols

Describe incident detection, notification timelines, forensic requirements, remediation responsibilities, and cooperation for HIPAA breach reporting.

Step-by-step: completing and executing the HLA

Follow these steps to draft, review, sign, and store a valid Healthcare Level Agreement in a compliant way.

  • 01
Draft: Populate parties, scope, PHI types, and security controls explicitly.
  • 02
Legal review: Have counsel and privacy officer validate wording and HIPAA alignment.
  • 03
Signatures: Collect signatures from authorized representatives and record signature dates.
  • 04
Distribution: Distribute final executed copies to stakeholders and retain audit trail.

How to set up a compliant online HLA workflow

Configure your digital workflow to capture required fields, authentication, and audit data for each signer before sending the HLA.

Field Configuration
Signature authentication Email plus optional SMS code or KBA for higher assurance
Templates Save reusable HLA templates with locked legal clauses
Audit trail Capture IP, timestamp, and action log for every signer
Retention policy Apply retention labels consistent with HIPAA and organizational policy

Technical considerations for digital signing and secure submission

Use a platform that supports secure transport, strong encryption, and detailed audit logs for PHI-bearing agreements.

  • Integrations: Salesforce, NetSuite, Google Workspace supported
  • Formats: PDF, DOCX, and XML exports
  • Authentication: Email, SMS, SSO capabilities

Typical online signing flow for an HLA

A standard electronic workflow reduces turnaround time while preserving evidence required for enforceability and audits.

  • Upload document: Add the final HLA file to the signing platform.
  • Place fields: Add signature, date, and required initial fields.
  • Send to signers: Send secure links or email invites to authorized signers.
  • Capture audit trail: Platform records timestamps, IPs, and authentication events.

Key timelines and response expectations to include

Define time windows for review, signature, breach notifications, and renewal notices so parties understand operational deadlines.

Signature window:

Set a clear signing deadline (commonly 30 days) to avoid stale approvals.

Review period:

Allow a defined review period (7–14 days) before execution for internal approvals.

Breach notification:

Include HIPAA-aligned reporting timelines; OCR notifications within 60 days of discovery are typical.

Renewal notice:

Require notice of nonrenewal at least 90 days before automatic renewal.

Record retention:

Specify retention obligations and archival export timelines per policy.

Common mistakes to avoid when preparing an HLA

  • Vague scope language that fails to list specific PHI categories or processing activities, leaving parties unclear about permitted uses.
  • Missing or unsigned signature blocks for subcontractors, which can break the chain of responsibility for PHI handling.
  • Omitting measurable SLA metrics such as response times or uptime targets, making enforcement and remedies difficult.
  • Failing to include a HIPAA-compliant breach notification procedure and required timelines for reporting to the covered entity.

Penalties and legal risks from an incorrect or incomplete HLA

HIPAA fines: Civil monetary penalties and corrective action plans.
Breach costs: Notification, remediation, and potential reputational damage.
Contract liability: Indemnity claims and damages for service failures.
Regulatory action: OCR investigations and enforcement remedies.
Operational disruption: Service outages that affect patient care delivery.
Termination risk: Loss of vendor access or contract cancellation.

Security and compliance checkpoints for the HLA

In transit: TLS 1.2/1.3 required
At rest: AES-256 encryption required
Audit trail: Detailed logs and immutable timestamps
BAA requirement: Business Associate Agreement mandatory
21 CFR Part 11: Comply for FDA-regulated records
Access controls: Role-based permissions enforced

Practical examples of HLAs in use

Real examples illustrate how organizations structure HLAs and integrate electronic signing into HIPAA-compliant workflows.

Fertility Centers of Illinois

A midsize clinic implemented an electronic HLA to centralize vendor obligations and audit records.

  • The implementation used API integrations for document exchange.
  • The result preserved compliance posture, reduced physical paperwork, and provided consistent audit trails for inspections and internal reviews without changing clinical workflows.

Martin Properties

A mixed-use healthcare landlord standardized HLAs with service providers to clarify data access during tenant transitions.

  • Templates reduced drafting time significantly.
  • Standardized agreements improved coordination with IT teams, ensured consistent security requirements across vendors, and reduced contract cycle time for facility services.
