Insurance and Indemnity

Contractor agrees to indemnify, defend and hold harmless Facility and its directors, officers, employees and agents from any claims, liabilities, losses, costs or expenses arising out of Contractor's negligence or willful misconduct in performing services under this Agreement, except to the extent caused by Facility's gross negligence or intentional misconduct.

Compliance with Laws; HIPAA and Privacy

Contractor shall comply with all applicable federal, state and local laws and regulations, including privacy laws and regulations governing protected health information. Contractor shall execute any additional business associate agreements or confidentiality agreements required by Facility prior to accessing patient information.

Term and Termination

Either party may terminate this Agreement without cause upon days' prior written notice. Facility may terminate immediately for cause if Contractor's license is suspended or revoked, if Contractor engages in conduct that threatens patient safety, or for material breach of this Agreement.

Upon termination, Contractor shall return all Facility property and protected health information in accordance with applicable law and Facility policy. Final compensation shall be paid for services rendered through the effective date of termination, subject to offsets for any amounts owed to Facility.

Independent Contractor Status

Contractor is engaged as an independent contractor and not as an employee, partner, or joint venturer of Facility. Contractor is solely responsible for all taxes, withholding, workers' compensation coverage and benefits for Contractor and Contractor's employees or subcontractors. Contractor shall not hold itself out as an employee or agent of Facility.

Representations and Warranties; Certifications

Contractor represents and warrants that Contractor holds all licenses, permits and certifications required to provide the services, that such credentials are in good standing, and that there are no pending disciplinary actions that would adversely affect Contractor's ability to perform services under this Agreement.
