HEALTHCARE LIFT MAINTENANCE CONTRACT

This Healthcare Lift Maintenance Contract (the "Contract") is entered into effective as of by and between:

Term

The initial term of this Contract shall commence on and shall continue for a period of (the "Initial Term"), unless earlier terminated in accordance with this Contract. Thereafter the Contract will automatically renew for successive unless a party provides written notice of non-renewal at least days prior to expiration.

Scope of Services

Provider shall furnish labor, materials and supervision necessary to perform inspection, preventive maintenance and repair services for patient lifts, slings and associated lifting equipment identified in the Equipment Schedule. Services shall include:

  • Routine preventive maintenance visits at the frequency selected below.
  • Visual and functional inspections, safety checks, load testing when required by manufacturer guidelines.
  • Corrective repairs and replacement of defective components.
  • Emergency response and on-site repair as described in Response Times.
  • Maintenance records and written service reports delivered to Facility after each visit.




Equipment Schedule

List each lift and accessory covered by this Contract, including manufacturer, model, serial number and location within the Facility.

Response Times & Performance Standards

Provider shall respond to emergency lift failures at the Facility within hours of notification and to non-emergency repair requests within business days. Preventive maintenance shall be performed at the following frequency:

Fees and Payment

Facility agrees to pay Provider the fees set forth below. All fees are payable in U.S. dollars and are due within days of invoice receipt unless otherwise agreed in writing.

Late payments shall incur interest at a rate of on the past due balance. Taxes, levies and governmental charges applicable to services shall be the responsibility of the Facility unless Provider is required to collect such taxes.

Parts, Warranties and Manufacturer Requirements

Provider shall use new or reconditioned parts meeting industry standards and manufacturer specifications. Provider warrants that parts and labor provided under this Contract shall be free from defects in workmanship for a period of following repair. Facility shall not permit repairs or modifications by third parties that would void manufacturer warranties without Provider's written consent.

Insurance, Indemnity and Liability

Provider shall maintain, at its expense, commercial general liability insurance, automobile liability and workers' compensation in limits customary for the industry and sufficient to cover Provider's obligations under this Contract. Provider shall indemnify and hold harmless Facility, its officers and employees from and against claims, damages or liabilities arising out of Provider's negligence, willful misconduct or breach of this Contract, subject to applicable law. Neither party shall be liable for incidental, indirect, special or consequential damages arising under this Contract, except for claims for bodily injury or death caused by a party's negligence.

Access, Facility Obligations and Safety

Facility shall provide reasonable access to equipment, utilities and space as required for Provider to perform services. Facility shall ensure that equipment is used, stored and inspected in accordance with manufacturer guidance between Provider visits. Any occurrence of patient or staff injury associated with equipment operation shall be reported immediately to Provider.

Confidentiality and HIPAA Compliance

Provider acknowledges that performance of maintenance services may, in limited circumstances, involve incidental access to individually identifiable health information. Provider agrees to maintain confidentiality of any protected health information encountered and to comply with applicable privacy and security obligations. Provider shall not use or disclose Facility patient information except as required to perform the services under this Contract or as required by law.

Records, Reporting and Audit

Provider shall maintain complete maintenance logs and service reports for each piece of equipment, including date of service, work performed, parts installed, and technician name. Facility shall have the right to request copies of service records upon reasonable notice, and Provider shall retain records for a minimum of years.

Termination

Either party may terminate this Contract for material breach if the breaching party fails to cure such breach within days after written notice. Facility may terminate for convenience upon days' prior written notice. Termination shall not relieve Facility of its obligation to pay for services performed and parts supplied prior to termination.

Subcontracting and Assignment

Provider may not subcontract material portions of the services nor assign this Contract without Facility's prior written consent, which shall not be unreasonably withheld. Provider remains responsible for performance of any subcontracted services.

Force Majeure

Neither party shall be liable for delays or failure to perform due to causes beyond its reasonable control, including acts of God, governmental actions, pandemics, labor disputes, or shortages of materials; provided that the affected party gives prompt written notice to the other and uses commercially reasonable efforts to resume performance.

All notices under this Contract shall be in writing and delivered to the addresses set forth below (or to such other address as a party designates by written notice).

General Provisions

This Contract constitutes the entire agreement between the parties with respect to its subject matter and supersedes prior agreements and understandings. Any amendment must be in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remainder shall remain in effect. This Contract shall be governed by the laws of the state where the Facility is located, without regard to conflict of law principles.
