Termination and Modification

Either party may terminate this Agreement with written notice to the other party. Unless otherwise agreed, termination requires at least days' prior notice. Immediate termination may occur for material breach, conduct endangering Client safety, or illegal acts.

Liability, Indemnity and Insurance

Provider shall carry and maintain any required liability and workers' compensation insurance for personnel. Client agrees to indemnify and hold Provider harmless from claims arising from Client's acts or omissions, except to the extent caused by Provider's gross negligence or willful misconduct.

Provider represents that required background checks, licensure and training for assigned caregivers have been completed consistent with applicable law. Provider will comply with applicable state and federal laws governing caregiving and employment.

Both parties agree to protect confidential information. Provider shall maintain records of care in accordance with professional standards and shall release such records only with Client's written consent or as required by law.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state where the Client residence is located. The parties shall attempt to resolve disputes in good faith and may pursue mediation prior to initiating litigation unless immediate injunctive relief is necessary.

Miscellaneous

Amendments to this Agreement must be in writing and signed by both parties. If any provision is found invalid, the remainder of the Agreement will remain enforceable.
