What a Healthcare Locum Contract Agreement Is

A Healthcare Locum Contract Agreement is a written contract that sets the terms and conditions between a healthcare provider (locum tenens clinician) and a hiring facility or staffing agency for temporary clinical services. It defines scope of work, schedule, compensation, credentialing responsibilities, liability and insurance requirements, confidentiality and HIPAA obligations, billing and tax classification, termination rights, and dispute resolution. The agreement helps manage clinical coverage gaps while protecting the parties by documenting expectations, recordkeeping responsibilities, and legal compliance for temporary healthcare engagements.

Why a Clear Locum Agreement Matters

A clear locum contract reduces operational ambiguity and legal risk by documenting compensation, credential verification, malpractice coverage, HIPAA compliance, and termination terms. It preserves patient safety and billing integrity while clarifying tax classification and reporting responsibilities for both parties.

Why a Clear Locum Agreement Matters

Who Uses and Signs This Agreement

Common users range from individual clinicians to healthcare organizations and staffing coordinators who manage temporary clinical coverage.

  • Physicians and Advanced Practitioners — Clinicians who accept temporary assignments and must confirm credentials, state licenses, and malpractice coverage.
  • Healthcare Staffing Coordinators — Agents or vendors arranging assignments, handling onboarding, and ensuring contract terms are met.
  • Facility Administrators — Hospitals, clinics, and group practices that set the scope of services, supervision, and payment terms.

Each user needs to understand their obligations under the contract, especially credentialing, liability, and tax reporting duties.

Essential Sections to Include in the Agreement

A professional locum contract organizes legal, clinical, and administrative terms so each party understands obligations related to care delivery, compliance, and payment.

Scope of Services

Describe specific clinical duties, acceptable procedures, on-call expectations, work locations, shift lengths, and any restrictions on practice scope during the engagement.

Term and Schedule

Define start and end dates, renewal or extension options, daily or weekly schedules, cancellation notice periods, and obligations for shift swaps or coverage gaps.

Compensation

Specify base rate, overtime or call pay, travel or housing reimbursements if applicable, billing method, invoicing schedule, and payment terms including timeframes.

Insurance and Liability

List required malpractice limits, whether facility or clinician provides coverage, indemnity clauses, and proof of insurance delivery prior to clinical start date.

Credentialing and Privileges

Assign responsibilities and timelines for license verification, hospital privileges, background checks, and required documentation for privileging and onboarding.

Compliance and Confidentiality

Include HIPAA privacy requirements, data handling, reporting obligations, and any required business associate addendum or privacy safeguards.

Required Data Fields and Compliance Elements

Provider Identity: Full legal name
Licenses: License numbers
Insurance: Malpractice limits
Assignment Dates: Start and end
Payment Terms: Rate and schedule
HIPAA Terms: Privacy safeguards

Step-by-Step: Completing the Locum Agreement

Follow these steps in order to prepare, review, and execute the agreement with minimal risk and administrative friction.

  • 01
Prepare Draft: Populate party names, scope, dates, and pay terms.
  • 02
Verify Credentials: Confirm licenses, DEA, and malpractice coverage.
  • 03
Legal Review: Have counsel or HR review indemnity and tax clauses.
  • 04
Execute Signatures: Collect signatures and retain the executed copy.

Configuring an Online Signing Workflow

Configure digital fields and authentication to match the agreement's legal and compliance requirements before sending for signatures.

Field Configuration
Signature Field Place signature, date, and initial fields for each party
Authentication Use email plus SMS code or ID verification for higher assurance
Conditional Fields Show reimbursement fields only when travel is included
Reminders Set automated reminders and final notice intervals

Digital Signing and Platform Considerations

Choose a platform that supports secure eSignatures, audit trails, and HIPAA-level controls when handling protected health information.

  • File Formats: PDF and DOCX supported
  • Integrations: Works with EHR, HR, and cloud storage
  • Security: Audit trail and encryption

Where to Send or File the Executed Agreement

After execution, route copies to the stakeholders below and update systems for payroll, credentialing, and compliance control.

  • Facility HR: Retain for payroll and onboarding records
  • Staffing Agency: Keep for assignment coordination and invoicing
  • Credentialing Office: File alongside privilege and license documents
  • Record Retention: Store executed agreement in secure archive

Key Timing and Deadline Considerations

Track start dates, notice periods, tax reporting triggers, and credentialing lead times to avoid service or compliance interruptions.

Credentialing Lead Time:

Allow 4–8 weeks for hospital privileges and background checks.

Notice to Cancel:

Standard notice often 7–30 days depending on contract terms.

Payroll Cutoff:

Submit timesheets by the facility's payroll deadline to ensure payment.

W-9 on Request:

Provide a completed W-9 to payers when requested for tax reporting.

1099-NEC Deadline:

Report nonemployee compensation to recipients and IRS by January 31.

Common Preparation Errors to Avoid

  • Incomplete credentialing documentation causing start-date delays and lost coverage continuity.
  • Unclear tax classification language that leads to payer confusion and potential backup withholding.
  • Missing or inadequate malpractice coverage details that expose the facility or clinician to indemnity disputes.
  • Vague scope of services that creates clinical liability or staffing disputes over permitted procedures.

Penalties and Risks of Incomplete or Incorrect Agreements

1099 Penalties: $60–$330 per form
Intentional Disregard: $660+ per form
Backup Withholding: 24% withholding rate
I-9 Violations: $281–$2,789 per violation
Credentialing Delays: Operational coverage gaps
HIPAA Breach Risk: Civil penalties and remediation

Practical Use Cases and Scenarios

Real-world examples help illustrate how clauses apply across typical locum assignments and how to structure protections for both sides.

Rural Hospital Coverage

A community hospital needed weekend emergency coverage for three months

  • Locum agreed to set shifts and on-call rotation
  • The contract required facility-provided malpractice coverage and expedited credentialing to meet patient-safety needs.

Specialty Clinic Fill-In

A specialty clinic required a cardiology locum for a physician on leave

  • Short-term assignment with higher hourly rate and travel stipend
  • Agreement defined documentation standards, billing responsibilities, and termination for regulatory noncompliance.

Typical Signers and Their Roles

Medical Director

Medical Director — Responsible for approving scope of clinical duties, ensuring credentialing is complete, and signing on behalf of the facility. They coordinate with HR and risk management to confirm insurance and privileges before start date.

Locum Provider

Locum Tenens Clinician — Signs to accept the assignment, confirm credentials and insurance, and attest to compliance with scope and schedule. Their signature confirms understanding of compensation, reporting, and confidentiality duties.
