Services shall be provided in accordance with applicable federal and state law, Facility policies, and the scope of practice for Physician's licensure and credentials.

Physician represents and warrants that Physician holds an active, unrestricted license to practice medicine in the State(s) where Services will be rendered and that Physician shall maintain all required credentials and privileges. Physician shall promptly provide Facility with copies of licensure, DEA registration, board certifications, and any other documents reasonably requested for credentialing and privileging.

Physician is an independent contractor and not an employee, agent, or partner of Facility. Physician shall be responsible for all taxes, withholdings, and benefits related to payments received. Physician shall not be entitled to Facility employee benefits.

Confidentiality and HIPAA Compliance

Physician shall maintain the confidentiality of patient information and comply with all applicable privacy and security requirements under federal and state law, including the Health Insurance Portability and Accountability Act (HIPAA). Physician shall only access, use, and disclose protected health information as required to perform Services and consistent with Facility policies.

Physician hereby acknowledges receipt of and agrees to comply with Facility's HIPAA policies and agrees that any breach of such obligations may result in termination of this Agreement and liability to Facility.

Representations, Warranties & Indemnification

Each party represents and warrants that it has full power and authority to enter into this Agreement. Physician represents that all information provided to Facility is true and complete. Physician shall indemnify, defend, and hold harmless Facility and its affiliates from any claims, liabilities, losses, or expenses arising from Physician's negligent acts, omissions, or willful misconduct in the performance of Services, except to the extent caused by Facility's gross negligence or willful misconduct.

Termination

This Agreement may be terminated by either party for convenience upon days' prior written notice. Additionally, Facility may immediately suspend or terminate Physician's assignment for cause, including loss of license, evidence of impaired practice, or material breach of Facility policy.

Background Checks; Drug Screening

Physician consents to background checks, credential verification, and drug screening as required by Facility. Continued engagement is contingent upon satisfactory results.

Notices

Governing Law; Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the state where the Services are primarily performed, without regard to conflict of law principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements. Amendments must be in writing signed by both parties.
