HEALTHCARE LOCUMS AGREEMENT

This Locums Agreement (the Agreement) is entered into between the Facility and the Locum Provider as set forth below. The parties agree as follows:

WHEREAS Facility operates healthcare services and requires temporary clinical coverage; and WHEREAS Locum is duly licensed and qualified to provide such coverage as an independent contractor; NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Engagement; Scope of Services

Facility hereby engages Locum to provide medical services as a locum tenens provider, and Locum accepts such engagement, subject to the terms of this Agreement. Locum shall provide clinical services consistent with the standards of care for the specialty identified above and in accordance with Facility policies while on duty.

Term, Schedule and Availability

The initial term of this Agreement shall commence on and continue through unless earlier terminated in accordance with this Agreement. Specific assignments, shift schedules and on-call responsibilities will be set forth in written shift confirmations issued by Facility.

Compensation; Billing; Expenses

Facility shall pay Locum the compensation set forth below for covered clinical hours. Locum shall submit invoices in accordance with this section. Compensation shall be paid within the agreed billing cycle following receipt of undisputed invoice.

Professional Credentials and Insurance

Locum represents and warrants that all professional licenses, certifications, and credentials required to perform the Services are current and in good standing. Locum shall maintain professional liability insurance with limits not less than the amounts set forth below while performing services under this Agreement.

Facility may require Locum to name Facility as an additional insured or to provide a certificate of insurance prior to commencement of services. Locum shall notify Facility promptly of any lapse, cancellation or material change in coverage.

Background, Credentialing and Privileging

Locum authorizes Facility to verify all credentials, professional history, and to perform background and sanction checks as required. Locum agrees to cooperate with credentialing and privileging processes and to provide documentation on request.

Confidentiality; HIPAA Compliance

Locum will have access to confidential patient information and Protected Health Information (PHI). Locum agrees to comply with all applicable privacy laws and Facility policies governing PHI. Locum's access to PHI is limited to the minimum necessary to perform services.

Independent Contractor; Taxes and Benefits

Locum is an independent contractor and not an employee of Facility. Locum is solely responsible for all taxes, unemployment insurance, workers' compensation, and benefits for themselves and any staff they engage. Facility shall not withhold payroll taxes for Locum.

Indemnification and Liability

Each party shall indemnify, defend and hold harmless the other party, its officers, directors and employees from and against losses, claims, liabilities and expenses arising from the indemnifying party's negligence, willful misconduct, or breach of this Agreement; provided, however, that Locum's liability for professional malpractice shall be subject to the limits of Locum's professional liability insurance.

Termination

Either party may terminate this Agreement without cause upon written notice to the other party as follows: days. Termination for cause may be immediate for material breach, loss of license, revocation of privileges, or failure to maintain required insurance.

Non-Solicitation

During the term of this Agreement and for a period of months following termination, Locum shall not directly solicit or provide services to Facility's patients or staff in a manner that circumvents Facility's operations without prior written consent from Facility, except as otherwise required by law.

Records; Documentation; Professional Standards

Locum shall maintain complete and accurate medical records in accordance with Facility requirements and applicable law. Facility shall have the right to audit documentation related to services performed under this Agreement.

Notices

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of . Any dispute arising out of this Agreement shall be resolved by arbitration or litigation as selected by Facility, subject to applicable statute of limitations.

Miscellaneous

This Agreement contains the entire understanding of the parties and supersedes all prior agreements. Amendments must be in writing and signed by both parties. If any provision is held unenforceable, the remainder shall continue in full force and effect.
